The OpportunityReporting to the Senior Legal Counsel, Americas, the Corporate Counsel serves as a key legal partner to the business across North America, with additional support for Central and South America operations. This role provides practical legal guidance, manages risk, and supports commercial objectives across a broad range of legal, compliance, and business matters.
Responsibilities- Draft, review, and negotiate commercial agreements, including client engagements, NDAs, referral agreements, vendor agreements, real estate leases, software agreements, subcontractor agreements, and employment offer letters.
- Review public contract proposals, RFPs, RFQs, certifications, and representations.
- Evaluate and resolve conflicts of interest.
- Partner with the People Team on employment law matters.
- Support collections activities, including collection letters and proofs of claim.
- Assist with acquisitions, due diligence, and post-acquisition integration.
- Support legal, risk, and compliance initiatives across the business.
- Conduct legal and regulatory research and monitor developments affecting the company.
Qualifications and ExperienceRequired- Juris Doctor (JD) from an accredited law school.
- Pennsylvania or New Jersey Bar membership in good standing.
- 3+ years of legal experience in a law firm or corporate legal department.
- Experience drafting, reviewing, and negotiating commercial agreements.
- Strong judgment, ethics, analytical skills, and business acumen.
- Ability to manage multiple priorities and communicate complex legal concepts to non-legal audiences.
- Strong collaboration and stakeholder management skills.
- Ability to work independently and escalate issues appropriately.
- Experience using generative AI tools, including Microsoft Copilot.
Preferred- Professional services or consulting experience.
- Exposure to risk management, compliance, and corporate governance.
- Experience with conflicts reviews, employment law, insurance, real estate matters, or M&A activities.
- Knowledge of U.S. privacy and data protection laws and data processing agreements.
- Spanish language skills.
