POSITION TITLE: Corporate Counsel

POSITION PURPOSE:
Guess is seeking a business-minded Corporate Counsel to join our legal team and support the business in a broad range of legal matters. This role is ideal for a practical, solutions-oriented attorney who thrives in a fast-paced environment, can independently manage multiple projects, and enjoys partnering closely with business teams on a wide variety of commercial, operational, and strategic initiatives.

The Corporate Counsel will play a key role in structuring, drafting, reviewing, and negotiating a diverse range of commercial agreements, advising on data privacy and regulatory matters, and supporting corporate transactions. This position reports directly to the General Counsel and is based in Los Angeles.

ESSENTIAL FUNCTIONS:Commercial Contracting and Business Counseling
  • Draft, review, negotiate, and manage the full lifecycle of a wide variety of domestic and international commercial agreements, including vendor and supplier agreements, distribution, logistics and supply chain agreements, marketing, influencer, sponsorship and event agreements, consulting and professional services agreements, technology, software, SaaS, AI and data-related agreements, e-commerce and digital platform agreements, confidentiality agreements, and intercompany agreements.
  • Partner closely with business stakeholders to provide practical, business-oriented legal advice on commercial and operational matters.
  • Advise internal teams on contractual risk, compliance considerations, and dispute avoidance strategies.
  • Support the continuous improvement of contract templates, processes, and legal operations workflows.
  • Provide support on corporate governance, mergers and acquisitions, joint ventures, licensing arrangements, and other strategic transactions, including due diligence, drafting, and coordination with outside counsel where appropriate.
Data Privacy and AI
  • Provide support and liaise with outside counsel on data privacy, consumer protection, and digital compliance matters in coordination with internal business, e-commerce, technology, and information security teams.
  • Assist in advising business teams on the legal, regulatory, and contractual implications of emerging technologies and artificial intelligence initiatives, including the use of AI tools, platforms, and related vendor relationships.

  • Ability to manage multiple projects simultaneously and work effectively under tight deadlines in a fast-paced environment.
  • Experience supporting global or international business operations a plus.
