Responsibilities

  • Draft, review, negotiate, and interpret a variety of firm agreements.
  • Assist in reviewing and tracking outside counsel guidelines and engagement letters.
  • Perform corporate secretarial duties for the firm and affiliates.
  • Support the development of risk management policies and procedures.
  • Review and advise on compliance matters related to professional responsibility and regulations.
  • Engage in special projects and transactions as required.
  • Contribute to the standardization of document management practices.
  • Participate in team initiatives focused on innovation and continuous improvement.

Full Job Description
PROFILE

Gowling WLG is looking for a new Corporate Counsel to join our Firm! The successful candidate will provide timely, reliable, practical legal advice to internal clients as a member of the General Counsel Team.

This position can be based in any of our Canadian offices!

RESPONSIBILITIES
  • Draft, review, negotiate and interpret a broad range of firm agreements including but not limited to:
    • Professional services and consulting agreements;
    • Software and service agreements with IT-based and other suppliers;
    • Non-disclosure agreements;
    • Sponsorship, event and publication contracts; and
    • Recruitment and agency contracts.
  • Assist in the review, negotiation, and tracking of outside counsel guidelines, engagement letters, terms of client relationships and RFPs.
  • Corporate Secretarial work for the firm and its various affiliates
  • Assist with risk management related firm policies and procedures.
  • Review, analyze and advise on professional responsibility, regulatory and other compliance matters.
  • Special projects including various projects and transactions.
  • Support the standardization of and best practices for managing, organizing and sharing documents and resources.
  • Contribute to team initiatives by participating in innovation and continuous improvement processes.

QUALIFICATIONS
  • LLB or JD degree (or equivalent).
  • Good standing with a Canadian law society.
  • 3-5 years of experience in a law firm and/or in-house legal department.
  • Strong drafting skills and exceptional attention to detail.
  • Effective communication skills, with the ability to influence and negotiate with others.
  • Excellent organization and time-management skills.
  • Ability to work independently and collaborate with various stakeholders, maintaining strong working relationships across the firm.
  • Business minded with sound and practical business judgement.
  • Ability to support internal clients across time zones within Canada.

The starting range for this role is $125,000 to $150,000. Starting salary will be determined based on an applicant's individual skills, competencies and unique qualifications. Gowling WLG employees have the potential to exceed this range based on tenure and performance.
