The Role

Cypress Creek is currently seeking Corporate Counsel to join the Company's Legal team. This individual will be responsible for providing primary legal support on project finance and M&A transactions as well as other contract negotiations. The position will report directly to the General Counsel.

Cypress Creek attorneys do not "just turn documents" - they are true partners with our commercial leads in structuring, executing and closing complex transactions. This individual will be expected not just to accommodate, but to advocate business considerations in the performance of their role; to act independent of, and occasionally to act as, the commercial lead on negotiations. The individual will have access to Cypress Creek's deep internal bench across the development, finance, construction, procurement, operations and management verticals to support execution and to help the individual grow their own skillset and industry knowledge.

Essential Duties and Responsibilities:

Transactional
  • Act as legal lead on financing transactions for solar energy facilities and battery energy storage systems, including construction financing, term debt, tax equity financings and refinancing transactions. Work with finance team to structure and plan financing transactions.
  • Draft and negotiate financing documents including loan agreements, partnership agreements, security agreements and guarantees.
  • Act as legal lead on the acquisition and sale of solar energy facilities and battery energy storage systems at all stages of development, construction or operation. Work with finance team to structure and plan M&A transactions.
  • Draft and negotiate transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents.
  • Work directly with outside lenders, tax equity investors, project buyers and sellers and other business partners to negotiate commercial issues.
  • Coordinate diligence efforts on both project finance and M&A transactions, working closely with the company's finance and development teams

Other Responsibilities
  • Draft and negotiate other miscellaneous commercial contracts including power purchase agreements, services agreements, consulting agreements, non-disclosure agreements, etc.
  • Manage internal paralegals to support transactions and contract negotiations.
  • Manage outside legal counsel, as needed, to facilitate project finance and M&A transactions and development efforts.
  • Engage with internal executives, Investment Committee and Board of Directors, and external investors and corporate lenders, in support of approving and executing transactions and key contracts.
  • Use legal background to serve as a sounding board and counselor to assist other team members in solving the problem of the day.
  • Collaborate regularly with other members of the legal team to help solve issues on their
    deals and contracts.

Requirements
  • J.D. from accredited law school and current license to practice.
  • Minimum 5 years of experience with a law firm or in-house legal department.
  • Experience negotiating project finance (including tax equity) and M&A transactions in the renewable energy industry.
  • Experience negotiating construction agreements, procurement agreements and power purchase agreements in the renewables energy industry is a plus.
  • Experience in the renewables industry or eagerness to learn about the renewables industry to the extent necessary to counsel the business.
  • Exceptional problem-solving skills and business-oriented approach to resolving legal issues.
  • Exceptional written, verbal and interpersonal communication skills.
  • Ability to prioritize multiple assignments and meet tight deadlines.
  • Ability to analyze complex issues and advise internal business partners appropriately.


Locations: The preferred location for this role is one of our offices. We have offices in Asheville, NC; Durham, NC; Washington, DC; and NYC;. Additionally, we are on a hybrid schedule 3/week.

Compensation: The salary range for the position is $200,000 - $240,000 plus bonus and benefits. Compensation may vary outside of this range depending on a number of factors, including a candidate's qualifications, skills, competencies and experience, and location.
