  • Assist in corporate governance matters including Board meetings and policy drafting.
  • Maintain and administer the company's contract database efficiently.
  • Manage coordination of outside counsel concerning litigation related to commercial disputes.

This role involves managing a broad range of corporate legal functions, with a primary focus on contract lifecycle management, intellectual property, and corporate governance. You will act as a key legal advisor to the company, overseeing due diligence for acquisitions and coordinating with external counsel to address operational and litigation matters.

What you'll do

  • Draft, review and negotiate commercial contracts, subcontract agreements, leases, non-disclosure agreements, professional services agreements, vendor agreements and other contracts relating to the operations of the Company.
  • Perform and coordinate due diligence and preparation of legal documents with respect to acquisitions/dispositions.
  • Manage the Company's patent and trademark portfolio, with the assistance of outside counsel.
  • Assist with corporate governance matters, including Board meetings, review of Board and Committee charters, review and drafting of company policies and coordinating with finance and internal audit on SOX and disclosure related matters.
  • Administer and maintain the Company's contract database.
  • Coordinate and manage outside counsel with respect to litigation matters concerning commercial disputes.


What you'll need

  • To be 18 years of age or older
  • Authorization to work in the United States for this company
  • JD degree from an ABA accredited law school and Member of the FL Bar or authorized in house counsel by the FL Bar.
  • 3 plus years of experience in corporate legal practice, preferably with law firm and in-house experience.
  • Demonstrated experience drafting and negotiating complex commercial contracts.
  • Excellent organizational skills and ability to effectively balance multiple ongoing projects.
  • Attention to detail and the ability to work individually, within a team, and with external partners and vendors.
  • Strong interpersonal skills are required as this person will have interaction with personnel at all levels of the company
  • Ability to thrive in a fast-paced environment

  • Routinely:Engage in standard office activities such as standing, sitting, and using computers for extended periods.
  • Occasionally: Travel domestically up to 10% to attend team meetings or training.
