JOB SUMMARY

This position will be working with their legal expertise to play a significant role in helping run the businesses. The Corporate Counsel will provide overall risk management and proactive overall legal leadership of the company, including, but not limited to handling all negotiations, litigations, contracts review and approval, deal structures, and other M&A activity.

Responsibilities include:
  • Managing the legal aspect of acquisition opportunities, evaluating acquisition opportunities including risk assessment; and managing legal process and execution of established opportunities (NDA, LOI, due diligence, deal negotiations).
  • Developing creative solutions for distressed asset acquisitions
  • Creating and reviewing all contracts and legally binding documents regarding employees, customers, vendors, and acquisition candidates; including sales, purchase orders, warranty, leases, purchase agreements, NDA, and bank and loan agreements
  • Developing all processes, policies, and procedures to minimize risk in all areas including product liability, environmental, human resources, and all government regulation and requirements
  • Drafting legal documents on behalf of The Company; as well as maintaining database and electronic filing systems of all legal documents
  • Representing The Company in certain legal matters which may include negotiations for settlements and collection of debt.
  • Filing lawsuits on behalf of The Company, its shareholders, and affiliated companies
  • Representing Company in litigation when appropriate to reduce cost of litigation
  • Retaining and managing outside counsel, when necessary
  • Creating new corporations, drafting articles of incorporation, by-laws and related documents as required
  • Advising management on proper legal courses for various legal situations; Monitoring and recommending appropriate insurance carriers and programs
  • Performing any legal duties that may arise for The Company and/or its shareholders and directing and coordinating shareholder business and estate planning.
  • Functioning as a value-added resource to Executive Committee, Division Presidents, Human Resources, Shipping and Receiving for claims and international legal issues and Sales Group
  • Offering legal solutions to situations based on relationships within Company. For example, internally networking with various divisions and Executive Management to learn about their business and how to be value added to mitigate risks.
  • Handling all levels of business insurance including property & casualty and directors & officers' insurance. This will include reading and understanding current policies, changes in the marketplace that affect Company and negotiating prices with the Insurance Providers
  • Creating and maintaining corporate minutes


PRINCIPAL CONTACTS INSIDE/OUTSIDE THE COMPANY

This position will interact with the Executive Committee, Division Presidents, Human Resources, Shipping and Receiving, and all other company employees with legal issues.

COMPETENCY OR POSITION REQUIREMENTS
  • 5-10 years of experience
  • Strong Employment Law experience
  • Contracts experience in Sales, Real Estate, IP, and experience with other contracts is a plus.
  • Strong knowledge of M&A with acquiring distressed companies, including creditor rights, article 9, bankruptcy and distressed asset purchases, are a plus
  • Bankruptcy experience including 363 sales, Article 9 sale, lien and title searches
  • Hands on doer
  • Experience building processes within their legal department and teams
  • Strong interpersonal and leadership skills and ability to support and partner cross-functionally with business leaders.
  • Corporate and real estate experience
  • Excellent research and data gathering skills.

EDUCATION AND/OR EXPERIENCE
  • JD required
  • MBA or Financial educational background preferred


EQUIPMENT USED

This position will be using a computer, copier, fax, and printer.

WORKING AND PHYSICAL CONDITIONS

This position will work in an indoor office setting, most of the day will be sitting while one the computer but occasionally time will be spent walking through the shop floor to meet with employees.
