The ideal candidate will have 1-2 years of solid corporate experience.

Here, you'll:

  • Manage multiple projects and assist in all facets of our transactional practice

What We're Looking For:

  • Driven, detail oriented, and enjoys taking on responsibilities
  • Solid experience supporting varied corporate transactions in a private company environment
  • Someone who can operate independently but knows when to ask questions

  • Enjoys working directly with clients and being part of a great team
  • Is looking for high-quality corporate experience, meaningful responsibility, and the ability to make an impact

Essential duties and responsibilities:

  • Assist partners on a broad range of mergers, acquisitions and other business transactions and corporate matters, as well as on a broad range of debt finance, fund formation, securities matters, depending on experience
  • Prepare and/or negotiate a wide range of transaction documents, corporate governance, instruments, commercial agreements and other legal documents
  • Conduct or oversee legal due diligence and negotiation
  • Manage and delegate appropriate tasks to paralegals

Qualifications:

  • 1-2 years of relevant experience
  • Strong understanding of corporate law and contract law, and/or understanding of securities law, finance law or regulatory compliance
  • Strong attention to detail
  • Intellectual curiosity and genuine interest in projects, rather than a "finish the task and forget about it" approach
  • Excellent communication and grammatical skills, both verbal and written
  • Genuine, authentic personality
  • Team player; takes direction well; receptive to constructive feedback
  • Proficiency with Microsoft Word and Outlook
  • J.D. and Texas Bar Admittance

Perks:

  • Highly flexible work from home policy
  • Collegial atmosphere of hard-working but fun-loving partners, associates, and staff
  • True work-life balance; 1700 billable hour requirement
  • Dedicated paralegals and support staff
  • Support and mentoring for business development initiatives
  • Origination credit on matters brought to the firm by the associate
  • Straightforward partner track
  • Excellent benefits and 401(k)
