Full Job Description
Talent Consultants is seeking a proactive and detail-oriented Corporate Associate Attorney to join our dynamic team in an onsite capacity. This role is perfect for an attorney with a passion for corporate law and a desire to work closely with clients on essential business transactions. The Corporate Associate will provide legal support on a variety of corporate matters, including mergers and acquisitions, corporate governance, and compliance issues. You will have the opportunity to work alongside senior attorneys and gain hands-on experience in a fast-paced environment while contributing to the firm's growth.

Responsibilities
  • Manage and oversee all aspects of corporate transactions, including mergers, acquisitions, and divestitures.
  • Draft, review, and negotiate corporate agreements and contracts.
  • Conduct due diligence and assist with the preparation of necessary documentation.
  • Advise clients on corporate governance, compliance, and regulatory matters.
  • Conduct legal research, provide legal opinions, and stay updated on relevant laws and regulations.
  • Build and maintain strong relationships with clients and provide exceptional legal services.
  • Collaborate with other practice areas as needed to support cross-functional legal matters.

Requirements
  • 2-3 (Only) years of corporate transactional experience
  • Juris Doctor (JD) from an accredited law school.
  • Active Georgia Law license
  • Strong understanding of corporate governance principles and compliance requirements.
  • Excellent drafting, negotiation, and analytical skills.
  • Meaningful exposure to M&A transactions, including drafting and negotiating complex agreements.
  • Strong writing, analytical, and organizational skills with exceptional attention to detail.
  • Sound judgment and the ability to manage multiple matters in a fast-paced environment.
  • Experience with cross-border transactions and general corporate matters.
  • Very strong academic credentials are required
  • German speaking would be beneficial
