Job PurposeThe Contracts Specialist will be responsible for providing advanced-level support in contract management, negotiation, and compliance. This role will proactively support Modular's commercial activities by drafting, reviewing, and negotiating a wide range of agreements, implementing contract processes, mitigating risks, and ensuring compliance with legal and corporate policies. The Contracts Specialist will collaborate across business functions to support growth while protecting Modular's legal and commercial interests.
Travel RequirementsJob Duties and Responsibilities- Contract Drafting & Negotiation: Lead the preparation, review, and negotiation of sales, service, purchasing, and vendor agreements to secure favorable terms and minimize risk.
- Contract Management: Maintain and oversee Modular's contracts database, and ensure documentation accuracy.
- Policy & Procedure Development: Assist in creating and implementing global policies and procedures related to contracting, compliance, and risk management.
- Risk Mitigation: Analyze potential business risks, propose mitigation strategies, and provide guidance to business units.
- Training & Knowledge Sharing: Deliver training programs and resources to improve business literacy in contracts, compliance, and best practices.
- Compliance Oversight: Ensure adherence to Modular, Komatsu, and legal requirements; monitor for compliance issues and recommend solutions.
- General Business Support: Provide general business support, maintain business acumen, and use computer systems like SharePoint and Microsoft Office.
- Cross-Functional Support: Partner with Finance, Product Development, Business Development, IT, HR, and other teams to support special projects.
- Legal Department Collaboration: Work closely with Modular and Komatsu Legal teams on cross-business unit initiatives and escalated matters.
Required Skills- Minimum 5 years' experience with contracts, legal principles, and business practices, including commercial law and intellectual property.
- Minimum 3 years' experience drafting, reviewing, and negotiating agreements. Mining, technology, or related industry experience is a plus.
- Knowledge of international contracting principles and risk allocation strategies.
- Familiarity with contract management systems, preferably SharePoint and DocuSign.
- Proficiency with Microsoft Office (Excel, PowerPoint, Word) and ability to produce clear documentation.
- Strong analytical and problem-solving skills with ability to develop creative solutions.
- Excellent communication and presentation skills, with the ability to explain complex concepts to diverse audiences.
- Bachelor's degree
Desired Skills- MBA or JD
- IP or contract management certifications (e.g., WIPO, CIPA, IACCM/WorldCC).
- Bilingual (English/Spanish) preferred
