Position SummaryThe Manager of Contracts, Munitions, will lead the contractual architecture of the Company's munitions and energetics portfolio from capture and proposal through production, delivery, and closeout, within the authority delegated by the Company. The Manager serves as principal business advisor to munitions program leadership and leads negotiations with the Army ammunition acquisition and contracting enterprise, including the Portfolio Acquisition Executive Agile Sustainment and Ammunition (PAE AS&A), the Capability Program Executive Ammunition and Energetics (CPE A&E), Army Contracting Command-Rock Island (ACC-RI), Army Sustainment Command (ASC), and their successor organizations, and prime and subcontract counterparties.
Principal Responsibilities- Lead the full contract lifecycle, including planning, solicitation, negotiation, award, administration, modifications, and closeout, for production, development, engineering, and service-related contracts.
- Draft, negotiate, and manage prime contracts, subcontracts, teaming agreements, and exclusivity arrangements with U.S. and international companies, including integrators and system suppliers, ensuring alignment with program requirements, schedule, cost targets, and technical obligations.
- Negotiate and administer Other Transaction Agreements under 10 U.S.C. 4022, including consortium-managed prototype projects and follow-on production awards, preserving competitive posture for 10 U.S.C. 4022(f) transition.
- Structure, negotiate, and execute production contracts, IDIQ vehicles, multiyear procurements, and undefinitized contract actions for ammunition, propellant, and energetic materials programs.
- Formulate negotiation strategy and concession parameters and lead fact-finding and final negotiations with Government contracting officers.
- Direct compliance with first article testing, lot acceptance, and DCMA quality assurance regimes, together with the contractual implications of nonconforming lots and requests for variance (deviations and waivers).
- Administer DPAS-rated orders under 15 CFR Part 700 and manage priority-performance obligations across competing production commitments.
- Govern domestic sourcing exposure, including specialty metals restrictions, Buy American requirements, restrictions on covered materials such as tantalum and tungsten (10 U.S.C. 4872), and domestic nonavailability determinations for energetic precursors and critical inputs.
- Advise on contractual mechanisms for industrial base expansion, facilitization, and capital investment, including Government-furnished property, special tooling, and the allocability of capital costs under CAS.
- Ensure contractual alignment with ammunition and explosives safety requirements, including DoDM 6055.09 and DFARS [redacted], and associated DCMA oversight.
- Coordinate with export compliance on ITAR, EAR, licensing, and technical data controls arising from parent-company and licensor collaboration, including deemed-export exposure.
- Operate within the Company's FOCI mitigation instrument in all dealings with the foreign parent and its affiliates, including affiliated-operations limits, the Electronic Communications Plan, visitation procedures, and the Technology Control Plan.
- Draft, negotiate, and manage technology license, know-how, and engineering services agreements with international licensors, including intellectual property and field-of-use terms, governing law and dispute resolution, and allocation of export control obligations.
- Structure and administer intercompany agreements with the parent companies supporting technology transfer, personnel support, and program execution, consistent with FOCI mitigation requirements.
- Establish and sustain contractor business system readiness for contracting, estimating, and purchasing, including DFARS [redacted] and [redacted] compliance, Contractor Purchasing System Review preparation, and DCAA and DCMA audit support.
- Flow down and administer cybersecurity and CUI requirements, including DFARS [redacted] and CMMC requirements under DFARS [redacted].
- Recruit, develop, and evaluate subordinate staff and establish performance standards for the munitions contracts team.
Required Qualifications- Bachelor's degree in business, law, public administration, or a related discipline.
- Ten or more years of progressive Government contracts experience, including at least five years in munitions, ordnance, or energetics programs.
- Three or more years of supervisory experience.
- Command of FAR, DFARS, and AFARS, including Truthful Cost or Pricing Data (TINA), CAS, and fixed-price production contracting, with broad practical application of contract principles, complex contract interpretation, and change management.
- Demonstrated success negotiating high-value production awards with Army contracting activities.
- Demonstrated experience negotiating and administering Other Transaction Agreements.
- Experience with cost or pricing proposals, contractor business systems, and DCAA or DCMA audits.
- U.S. citizenship required. Able to obtain and maintain a U.S. Government Secret security clearance; active clearance preferred.
- Must be willing to travel domestically and internationally as needed to support program and capture needs, including travel to Europe and the Republic of Korea.
Preferred Qualifications- J.D. or MBA.
- NCMA Certified Professional Contracts Manager (CPCM).
- Experience with GOCO or contractor-owned ammunition production facilities.
- Experience supporting foreign-owned or FOCI-mitigated defense contractors.
- Experience negotiating international technology license agreements.
- Working proficiency in Korean.
Additional InformationThis position requires access to technical data controlled under the ITAR and EAR. Work may be performed at explosives-licensed facilities with associated site access, personal protective equipment, and safety training requirements.
