Position Overview

We are looking for a business-minded Commercial Counsel to lead our commercial and infrastructure legal function. In this role, you will be the legal anchor behind our data center development pipeline and hyperscale commercial leasing engines.

You aren't just an evaluator of legal risk; you are a strategic partner who understands how real estate, energy, construction, and technology intersect. You will guide our Commercial and Delivery teams through massive, long-cycle transactions, manage risk across our supply chain, and build scalable processes.
Key Qualifications
  • 8-10+ years of relevant legal experience, with a J.D. from an accredited law school
  • Familiarity with data center development and/or digital infrastructure projects is strongly preferred
  • In-house legal experience is strongly preferred, with a demonstrated ability to partner effectively with business teams
  • Experience negotiating commercial agreements and serving as a primary point of contact for business stakeholders
  • Experience working with and managing outside counsel effectively and efficiently
  • Experience in a private equity-backed company or similarly dynamic environment is a plus
  • Strong business acumen and a track record of acting as a trusted advisor in a high-growth or entrepreneurial environment
  • Willingness to roll up sleeves and operate both strategically and tactically as part of a lean legal team
  • Excellent written and verbal communication skills, with the ability to negotiate effectively and influence outcomes
  • A high degree of ownership, accountability, sound judgment, and professionalism
  • Collaborative, low ego, and team-oriented approach with a strong sense of initiative and curiosity

Role Responsibilities
  • Hyperscale & Colocation Leasing: Draft, structure, and negotiate complex, high-value wholesale colocation leases, master services agreements (MSAs), and service level agreements (SLAs) with global hyperscale cloud providers and enterprise tenants
  • Partner with the Development teams to negotiate design-build agreements, engineering, procurement, and construction (EPC) contracts, equipment purchase agreements (e.g., for long-lead items like generators and chillers), and master vendor agreements
  • Energy & Utilities Procurement: Support the procurement team in reviewing power purchase agreements (PPAs), renewable energy credits (RECs), and utility interconnection agreements necessary to secure massive, sustainable power loads
  • Supply Chain & Operations: Manage legal risk across the supply chain, including critical vendor agreements, physical security services, facility management, and logistics contracts
  • Regulatory & Compliance Collaboration: Coordinate with internal real estate, environmental, and tax counsel regarding zoning, environmental impact assessments, land use permits, and economic incentives
  • Process Scaling & Playbooks: Design and implement contract playbooks and fallback positions specifically tailored to data center operations to standardize risk tolerances across regions

Location: Seattle, WA (3+ days/week in office)

Total Compensation Range: $250,000 - $285,000 (+ annual performance bonus)
