Full Job Description
The Role

Treaty Oak is seeking an Attorney, M&A. The role will be responsible for supporting mergers and acquisitions and joint ventures related to renewable energy and battery storage, while also advising on renewable energy project development, procurement, construction, environmental, and permitting matters. The position reports to the General Counsel.

Key Responsibilities
• Advise on mergers and acquisitions and joint ventures involving utility-scale renewable energy and battery storage projects.
• Support project development, procurement, construction, environmental, and permitting matters related to renewable energy projects.
• Advise on joint venture structuring, partnership agreements, and corporate governance matters at both the project and holdco levels.
• Draft and negotiate transactional documents, including purchase and sale agreements, asset purchase agreements, joint development agreements, operating agreements, development services agreements, letters of intent, and related ancillary documents.
• Lead or support project-level and corporate M&A closings, including due diligence management, document negotiation, and closing coordination.
• Manage buy-side and sell-side due diligence across legal, title, permitting, and contract workstreams, and support integration of acquired assets into existing business operations.
• Counsel senior leadership on project- and portfolio-level transactions while managing external counsel and transaction costs.
• Collaborate with internal stakeholders and external advisors to drive successful transaction execution.

Education and Qualifications
• 3 to 5 years of relevant experience advising on mergers and acquisitions and joint ventures, with additional experience in utility-scale renewable energy project M&A, development, procurement, construction, environmental, or permitting matters.
• Strong interest in renewable energy project development.
• Experience with joint venture structuring, partnership agreements, and corporate governance matters at the project and holdco levels.
• Proven ability to draft and negotiate a broad range of transactional documents and manage complex closings.
• Experience conducting and coordinating due diligence across multiple legal and commercial workstreams.
• Excellent negotiation, communication, and legal writing skills, with the ability to align legal strategy with company growth objectives.
• Highly organized with the ability to manage complex, multi-state acquisitions across concurrent workstreams.
• JD from an ABA-accredited law school and active bar membership in good standing in an applicable state.
