We advise private equity sponsors, corporates, and law firms on Representations & Warranties Insurance (RWI), Tax Liability Insurance, Contingent and Structured Risk, and Credit Insurance. Our team executes on the most complex M&A and capital markets transactions across North America and globally.

We are launching a dedicated Canadian business development effort and are hiring a BD leader to anchor our presence in the Canadian market. This is a foundational hire with significant scope to shape strategy, build relationships, and grow a market.

The Role

We are seeking a highly motivated Associate to join our Tax Insurance team. This role sits at the intersection of tax law, M&A, and insurance, supporting the structuring and placement of bespoke tax liability insurance solutions for complex transactions.

The Associate will work closely with senior brokers, clients, and insurers to analyze tax risks, support deal execution, and contribute to the continued growth of the Tax practice.

Key Responsibilities:
• Analyze and assess complex tax risks arising in M&A transactions, restructurings, and other corporate activities
• Support the negotiation and placement of tax liability insurance policies, working alongside senior team members
• Collaborate with internal teams to advise on tax-related issues and support broader transaction execution
• Conduct legal and technical research to evaluate tax positions and inform underwriting submissions
• Assist in the development of new tax insurance products and solutions
• Manage aspects of client relationships, ensuring high-quality service and responsiveness throughout deal lifecycles
• Prepare underwriting materials, presentations, and client deliverables
• Participate in client and insurer calls, meetings, and negotiations
• Support business development efforts, including contributing to pitches and market insights

Qualifications & Experience:
• J.D. preferred; strong academic credentials preferred
• 2-5 years of experience in tax law (law firm, accounting firm, or relevant advisory environment)
• Experience with transactional tax (M&A, private equity, or restructuring) strongly preferred
• Strong analytical and problem-solving skills with attention to detail
• Ability to communicate complex tax concepts in a clear, commercial manner
• Proven ability to manage multiple workstreams in a fast-paced environment

Compensation & Benefits:
• Base Salary: $130,000 - $160,000, commensurate with experience.
