Responsibilities

Ducera advises clients in a variety of complex and transformative transactions. Our professionals, with roots in complex corporate finance, offer independent advice to stakeholders in a broad range of situations.

Our Ducera Growth Ventures ("DGV") platform invests in growth, venture and other investments on behalf of leading corporations and institutions. DGV's investment approach looks to maximize risk adjusted returns through complex investment structuring, deep business/industry diligence, and highly active post-investment strategic support to portfolio companies as they execute their business plan. Associates play an integral role in the underwriting of investments and managing of portfolio companies in the post-investment value creation.

Our mergers and acquisitions services include advice related to buy- and sell-side advisory; fairness opinions and special committee representation; merger advisory; cross-border advisory; takeover defense and shareholder advisory; and divestitures, asset sales, and spin-offs. As an Associate, you will be involved in the development, structuring, and financing of a wide range of transactions and will regularly attend internal and client meetings, negotiations and due diligence sessions.

Associate work will include, but is not limited to:
  • Ducera Growth Ventures Responsibilities:
    • Supporting in the negotiation, structuring, and evaluation of investment transactions.
    • Conducting deep business diligence, including leading calls with investment target management teams and their outside advisors/consultants.
    • Conducting industry research utilizing traditional finance softwares and Ducera network.
    • Preparing investment committee materials, other LP/Partner materials, and other ongoing portfolio management materials.
    • Executing complex financial analyses, including valuation models, detailed financial forecasts, investment structure alternatives, monetization alternatives, and others.
    • Guiding and assisting portfolio company management teams in executing post-investment value creation.
  • Mergers & Acquisition Responsibilities:
    • Producing analyses and models on leveraged buyouts, discounted cash flows, mergers and acquisitions accretion and dilution, and multiple valuation.
    • Preparing memoranda for internal and external use.
    • Assisting in the execution and coordination of complex transactions and time-sensitive processes, including due diligence and valuation analysis.
    • Drafting client marketing and pitch materials.
    • Maintaining active involvement and participation in client facing situations and negotiations.
    • Providing mentorship and development to junior staff.
Qualifications

Qualified applicants will prove to be highly motivated and team-oriented with excellent leadership records. The successful candidate will demonstrate a strong background in financial modeling, finance, and accounting as well as possess excellent verbal and written communication skills, outstanding project management skills, and exceptional attention to detail.

Expected annualized base salary range: $200,000 - $250,000

The annual base salary range reflects the low and high targets of the estimated base salary range for this position. The actual base salary an employee in this role receives may vary depending on a variety of factors, including but not limited to: work location, job-related knowledge, and prior experience. The range listed reflects base salary only, and the total compensation package may include other components.
