This position reports to the General Counsel and is responsible for assisting the legal department in managing the company's day-to-day legal requirements, with a focus on drafting and reviewing surface land agreements (representing both midstream and landowner), midstream commercial transactions, commercial lease agreements, M&A transactions, finance/capital structure transactions and ancillary agreements. Other responsibilities include corporate governance, risk management (including assisting in administering the property and casualty insurance program), due diligence and preparing legal summaries. This position includes direct exposure to department heads (commercial, land, finance, accounting, HR, etc.) and the senior management team.
Primary Duties & Responsibilities: - Assist GC/Deputy GC and other internal clients in all aspects of midstream commercial and surface land transactions
- Draft a wide variety of transactional agreements, including commercial midstream agreements, surface use agreements, surface and mineral lease agreements and water purchase agreements
- Provide legal review and analysis of existing internal and third party commercial and surface land agreements
- Assist in large M&A transactions, including due diligence review and drafting ancillary agreements
- Manage corporate structure and governance, including board resolutions, periodic reports and other internal documentation
- Supervise external counsel
Qualifications and Requirements: - Bachelor's Degree and Juris Doctor with excellent academic credentials
- 2-4 years' experience practicing sophisticated energy transactional work at a major law firm or energy company (or equivalent)
- Excellent verbal and written communication
- Excellent organizational skills and professional demeanor
- Ability to interact effectively with all departments and levels of the organization, including senior management
- Ability to efficiently synthesize information, manage multiple tasks and meet deadlines
- Proficient in MS Word, MS Power Point and MS Excel skills
