Job Description

Job Summary

Provides associate level support for legal counsel activities. Provides legal advisement related to rights, obligations, and privileges of the organization. Partners closely with legal and business stakeholders, supports corporate governance for Molina Healthcare's subsidiaries, and provides day-to-day guidance to the corporate paralegal team.

Job Duties
• Drafts, reviews, and revises corporate governance documents, including resolutions, consents, organizational documents, charters, bylaws, and other corporate records.
• Drafts, reviews, and manages intercompany agreements and related internal corporate documents.
• Supports corporate governance and entity management matters across the organization and its subsidiaries.
• Assists with regulatory audits, examinations, and related document and response coordination.
• Partners with cross-functional teams, including compliance, tax, and business operations.
• Provides oversight, mentoring, and day-to-day guidance to the corporate paralegal team.
• Supports process improvements and best practices for governance, documentation, and legal operations.

Job Qualifications

REQUIRED QUALIFICATIONS:
• Juris Doctor (JD) from an accredited law school and active, unrestricted bar membership.
• At least 4 years of relevant experience in a law firm and/or in-house legal department, with a focus on corporate matters, or equivalent combination of relevant education and experience.
• Experience with corporate governance, entity management, and drafting and reviewing governance documents.
• Experience supporting regulatory audits, examinations, or similar compliance-related reviews.
• Strong drafting, organizational, analytical, and cross-functional collaboration skills.
• Experience providing guidance or oversight to corporate paralegals or other legal support professionals.

PREFERRED QUALIFICATIONS:
• Experience supporting a public company or complex, multi-entity corporate structure.
• Familiarity with board processes, subsidiary management, and corporate secretarial practices.
• Experience in healthcare, insurance, or another highly regulated industry.
