About the RoleThis attorney will own commercial and federal contracting for Appgate, while also supporting the General Counsel on corporate matters including data privacy, employment law, compliance and entity management.
Key Responsibilities- Own end-to-end contract lifecycle management for commercial and federal customer, vendor, and channel partner agreements
- Partner with other departments to structure and close deals efficiently
- Maintain and improve template agreements, contract playbooks, and negotiation processes
- Provide legal support on data privacy, employment law, and general corporate compliance matters
- Support the General Counsel on strategic legal priorities
Focus Areas:Contracts (primary focus)- Review, draft and negotiate client and supplier technology transactions, including SaaS and software license transactions, vendor and procurement contracts, channel partner contracts, teaming agreements, and non-disclosure agreements
- Support federal/government contracting matters, including FAR/DFARS compliance, GSA schedule contracts, commercial item determinations, IP issues in government contracts, and government flow-downs
- Deliver and coordinate contract and commercial advice to business teams
- Manage and maintain template agreements, contract playbooks, and sales process documentation
- Ensure commercial documentation and processes comply with current law, client requirements, and industry best practices
Corporate (secondary focus)- Advise on data privacy compliance (GDPR, UK GDPR, CCPA) and use of customer data
- Support employment law matters - hiring, onboarding, terminations, employment-related claims, and policy compliance across US and international jurisdictions
- Assist with general corporate compliance matters
- Handle entity management and governance activities, including entities organized in foreign jurisdictions
- Handle intellectual property matters
- Provide advice and guidance on corporate governance matters
Required Qualifications- JD from an accredited U.S. law school; member in good standing with a state bar
- 8+ years of relevant experience, with a mix of law firm and in-house preferred
- Strong background in commercial technology contracting (SaaS, licensing, channel partner agreements)
- Ability to manage competing priorities and work independently in a fast-paced environment
- Superior negotiation, communication, and presentation skills
Preferred Qualifications- Federal government contracting experience (FAR/DFARS, GSA schedules)
- Exposure to data privacy, employment law and general corporate compliance
- Experience working with global/international teams and jurisdictions
