Responsibilities

The Role

Cypress Creek is currently seeking a corporate attorney to join the Company's Legal team. This individual will be responsible for providing legal support on M&A and financing transactions, development activities as well as other contract negotiations.

Cypress Creek attorneys do not "just turn documents" - they are true partners with our commercial leads in structuring, executing and closing complex transactions. This individual will be expected not just to accommodate, but to advocate business considerations in the performance of their role; to act independent of, and occasionally to act as, the commercial lead on negotiations. The individual will have access to Cypress Creek's deep internal bench across the development, finance, construction, procurement, operations and management verticals to support execution and to help the individual grow their own skillset and industry knowledge.

Essential Duties and Responsibilities:

Transactional
  • Support internal legal lead on M&A transactions, including coordinating diligence efforts working closely with the Company's finance, development, real estate, environmental, engineering and tax teams.
  • Support in the drafting and negotiating of transaction documents including purchase and sale agreements, disclosure schedules, and other ancillary documents.
  • Support internal legal lead on financing transactions for solar energy facilities and battery energy storage systems, including construction financing, term debt, tax equity financings and refinancing transactions.

Development
  • Act as legal lead on the review, drafting and negotiation of a wide variety of commercial agreements, including master services agreements, consulting agreements, and non-disclosure agreements.
  • Support on the drafting and negotiation of supply agreements, EPC agreements, purchase orders and other contracts and documentation needed to support the Company's Supply Chain and project management groups.
  • Support with regulatory compliance efforts at the company including coordination of filings with the Federal Energy Regulatory Commission, public utility commissions and state-level regulatory entities as applicable.
  • Provide other day-to-day legal support to the Company's development team.

Other Responsibilities
  • Support on litigation matters and other pre-litigation disputes.
  • Support efforts to make or respond to warranty claims.
  • Support in updating our internal library of template agreements.
  • Manage internal paralegals to support transactions and contract negotiations.
  • Manage outside legal counsel, as needed, to facilitate project finance and M&A transactions and development efforts.
  • Collaborate regularly with other members of the legal team to help solve issues on their deals and contracts.

Requirements
  • J.D. from accredited law school and current license to practice.
  • Minimum 2 years of experience with a law firm or in-house legal department.
  • Knowledge of and experience drafting and negotiating commercial contracts.
  • Experience supporting on M&A transactions.
  • Experience in the renewables industry or eagerness to learn about the renewables industry to the extent necessary to counsel the business.
  • Exceptional problem-solving skills and business-oriented approach to resolving legal issues.
  • Exceptional written, verbal and interpersonal communication skills.
  • Ability to prioritize multiple assignments and meet tight deadlines.
  • Ability to analyze complex issues and advise internal business partners appropriately.
  • Fluency with or eagerness to learn about the solar industry to the extent necessary to counsel the business.

Locations: The preferred location for this role is one of our offices. We have offices in Durham, NC; Washington, DC; and NYC;. Additionally, we are on a hybrid schedule 3/week.

Compensation: The salary range for the position is $120,000 - $165,000 plus bonus and benefits. Compensation may vary outside of this range depending on a number of factors, including a candidate's qualifications, skills, competencies and experience, and location.
