Associate Corporate Counsel (Legal, Risk & Compliance) (Airwallex US, LLC, New York, NY)
Provide practical legal guidance to ensure compliance with laws, rules, and regulations applicable to the company's entities across the Americas; Support the corporate development team in connecting with fundraising rounds, mergers and acquisitions and related corporate transactions; Advise on and support expansion and market launches in new jurisdictions; Collaborate with global compliance and risk teams to align internal policies and procedures with Airwallex's global standards; Draft and review referral agreements, marketing materials, and other commercial documents in partnership with the business development, partnership, and marketing teams; and Provide guidance on legal issues related to marketing, advertising and promotions. Partial telecommuting permitted; on-site at 215 Park Ave S, New York, NY 10003 when not telecommuting. Salary: $146,000-$250,000 per year.
MINIMUM REQUIREMENTS: J.D. or U.S. equivalent in Law, plus 2 years of professional experience as an Associate, Counsel, Corporate Attorney, or any occupation, job title, or position involving financial services and corporate law within a technology company or international law firm. Must be admitted to New York State Bar.
Must also have experience in the following: 2 years of professional experience providing legal advice on financial services regulation and corporate law matters; 2 years of professional experience drafting, reviewing, and negotiating commercial and partnership agreements; 2 years of professional experience advising marketing, advertising, and promotional compliance; 2 years of professional experience collaborating with cross-functional teams; 2 years of professional experience handling capital markets related legal matters; 2 years of professional experience in deal management and transaction execution; 2 years of professional experience in transactional legal work, including advising companies on IPO and capital markets transactions, mergers and acquisitions, and financing matters; and 2 years of professional experience in corporate governance, including advising public and private U.S. companies on securities law compliance, reporting obligations, or internal governance matters.
