Position Overview

MRI Software is seeking a strategic and hands-on Vice President, Tax to build and lead the Company's global tax function. This is a newly established leadership role that will transition key tax responsibilities from an external provider to an internal center of excellence, creating greater visibility, control, and strategic alignment across the enterprise.

The Vice President, Tax will be responsible for overseeing global tax planning, tax compliance, tax reporting, tax provision, transfer pricing, indirect tax, and tax risk management across MRI's international operations. The successful candidate will play a critical role in supporting the Company's continued growth, acquisition strategy, and global expansion efforts. The role will also provide oversight and support for select treasury activities including cash and liquidity planning, banking relationships, intercompany funding and other treasury matters as needed.

This position requires an experienced tax executive who can operate strategically while also building processes, controls, and capabilities within a complex, private equity-backed SaaS organization. Similar finance leadership roles within the organization emphasize global operations, M&A support, tax planning, regulatory compliance, internal controls, and partnership with executive leadership.

Key Responsibilities

Tax Function Leadership & Transformation
  • Establish and lead MRI's global tax function.
  • Develop and execute a multi-year strategy to transition tax activities from external providers to an internally managed model.
  • Assess existing tax processes, controls, systems, and vendor relationships and implement improvements.
  • Build and develop a high-performing tax organization capable of supporting a growing global business.
  • Establish governance, policies, controls, and reporting frameworks to support long-term scalability.

Global Tax Compliance
  • Oversee global direct and indirect tax compliance across all jurisdictions.
  • Ensure timely and accurate filing of federal, state, local, and international tax returns.
  • Manage relationships with external tax advisors and compliance providers.
  • Provide oversight of tax audits, inquiries, and examinations.
  • Ensure compliance with evolving global tax regulations and reporting requirements.
  • Provide leadership over indirect tax matters relevant to a global software and SaaS business including sales and use tax, VAT, GST, digital services taxes, and related nexus and registration requirements

Tax Provision & Reporting
  • Lead quarterly and annual tax provision processes.
  • Partner with Accounting and Finance teams to ensure accurate tax reporting under applicable accounting standards.
  • Oversee tax-related disclosures and reporting requirements.
  • Develop processes to improve tax forecasting, planning, and reporting accuracy.
  • Provide visibility into the Company's effective tax rate, cash tax forecast, material deferred tax positions, uncertain tax positions, and other significant tax matters.

Strategic Tax Planning
  • Identify and implement tax-efficient structures that support business growth and profitability.
  • Advise senior leadership on tax implications of business initiatives and strategic decisions.
  • Lead tax planning initiatives related to acquisitions, divestitures, restructurings, and international expansion.
  • Provide tax guidance on transfer pricing, intellectual property strategies, and cross-border operations.
  • Partner with Legal and Accounting on legal entity rationalization, restructuring, and simplification initiatives.

Mergers & Acquisitions
  • Serve as the tax lead for acquisition and integration activities.
  • Support tax due diligence, transaction structuring, and post-acquisition integration.
  • Assess tax exposures, risks, and opportunities associated with potential acquisitions.
  • Partner with corporate development, finance, legal, and external advisors throughout the transaction lifecycle. M&A and global finance support responsibilities are consistent with enterprise finance leadership roles within the organization.
  • Own the tax integration roadmap following acquisitions, including legal entity structure, tax attributes, transfer pricing, indirect tax, compliance requirements, and other tax-related integration matters.

Treasury Support
  • Provide oversight and support for select treasury activities in partnership with Finance and Accounting leadership.
  • Support cash and liquidity forecasting, global banking relationships, and treasury governance as needed.
  • Partner on intercompany funding, cash repatriation, and cross-border funding matters where tax and treasury considerations intersect.
  • Support debt, lender, and other treasury-related activities as required.


Business Partnership
  • Act as a trusted advisor to the Executive Vice President, Finance, executive leadership team, and business stakeholders.
  • Partner closely with Accounting, FP&A, Treasury, Legal, and Corporate Development teams.
  • Provide practical and commercially focused tax guidance that supports business objectives.
  • Support strategic growth initiatives, new market entry activities, and global operational planning.


Qualifications

Required
  • Bachelor's degree in Accounting, Finance, Tax, or related field.
  • CPA and/or Master's in Taxation strongly preferred.
  • 12+ years of progressive tax experience, including leadership responsibilities.
  • Significant experience managing corporate tax functions within a multinational organization.
  • Deep expertise in:
    • Corporate income taxation
    • State and local taxation
    • International tax
    • Transfer pricing
    • Indirect tax (VAT/GST)
    • ASC 740 tax provision and reporting
    • Tax planning and compliance
  • Experience overseeing external tax advisors and outsourced tax providers.
  • Strong understanding of tax implications associated with mergers and acquisitions.
  • Excellent communication, leadership, and stakeholder management skills.

Preferred
  • Experience within a SaaS, software, technology, or recurring revenue business model.
  • Experience working within a private equity-backed organization.
  • Experience building or transforming an internal tax function.
  • Experience partnering with or providing oversight of treasury activities is a plus but deep treasury specialization is not required.
  • Experience supporting global operations across North America, EMEA, and APAC.
  • Familiarity with acquisition-heavy growth environments. Global operations, M&A activity, and tax compliance support are reflected in prior finance leadership documentation.
