What We Do
The Vice President, Tax (VP, Tax) is the senior Tax officer responsible for the global tax-related strategy, governance, compliance, reporting, and risk management of First American Financial Corporation and its affiliates.

As a key member of the Finance leadership team, the VP, Tax ensures tax strategy aligns with enterprise objectives, capital allocation priorities, regulatory frameworks, and long-term shareholder value creation. The role provides strategic leadership across a diversified, highly regulated enterprise subject to oversight by State Departments of Insurance and the Federal Reserve Bank, while maintaining compliance with U.S. GAAP, Statutory Accounting Principles (SAP), and evolving global tax regimes.

The VP, Tax regularly engages with executive leadership, regulators, auditors, and the Audit Committee of the Board of Directors.

KEY RESPONSIBILITIES

1. Enterprise Tax Strategy & Shareholder Value Creation

  • Develop and execute a comprehensive global tax strategy aligned with corporate growth initiatives, M&A activity, capital allocation priorities, and international expansion.

  • Drive long-term shareholder value through proactive tax planning, liquidity optimization, and efficient cash management across the affiliated group.

  • Lead tax-efficient capital deployment strategies, including intercompany funding, dividend planning, repatriation strategies, and legal entity structuring.

  • Optimize the Company9s global effective tax rate within regulatory, reputational, and governance standards.

  • Provide tax modeling and scenario analysis supporting enterprise forecasting and strategic planning.

2. Financial Reporting & Regulatory Reporting

  • Oversee global income tax accounting under U.S. GAAP, including ASC 740 tax provision, uncertain tax positions, valuation allowances, and effective tax rate reconciliation.

  • Direct preparation of tax disclosures for SEC filings, including Forms 10-K and 10-Q.

  • Oversee preparation of stand-alone tax provisions for separately audited subsidiaries and regulated enterprises, including insurance and banking entities.

  • Ensure accurate and timely regulatory and statutory tax reporting to:

  • State Departments of Insurance

  • The Federal Reserve Bank and related banking regulators

  • Direct preparation and review of premium tax returns and related filings with State Departments of Insurance.

  • Oversee statutory tax reporting consistent with SAP requirements.

  • Support regulatory examinations and tax-related inquiries from state insurance regulators.

  • Oversee tax compliance and planning for banking entities subject to Federal Reserve and other banking regulatory oversight.

  • Provide periodic updates to the Audit Committee regarding tax exposures, regulatory developments, and audit activity.

3. Global Tax Compliance & Indirect Tax Oversight

  • Direct all federal, state, local, and international tax compliance activities.

  • Oversee transfer pricing policies and documentation consistent with OECD guidelines and BEPS initiatives.

  • Lead global tax controversy management, including audits, appeals, and dispute resolution.

  • Lead tax planning related to technology-enabled services, data licensing, SaaS arrangements, and intellectual property.

  • Oversee nexus determinations and multistate income and indirect tax exposure arising from digital and interstate activities.

  • Oversee sales and use tax administration, including multistate compliance, nexus monitoring, audit defense, and systems integration to ensure accurate collection and remittance.

  • Ensure compliance with indirect, property, payroll, and specialty taxes across jurisdictions.

4. Legislative & Regulatory Monitoring

  • Monitor U.S. and international tax legislative developments, including global minimum tax frameworks, insurance-specific tax rules, and banking regulatory developments.

  • Assess and communicate the financial and operational impact of tax law changes to executive leadership and the Board.

  • Lead implementation of new tax regulations and reporting requirements enterprise-wide.

5. Risk Management & Governance

  • Integrate tax risk assessment into the Company9s enterprise risk management framework.

  • Establish and maintain tax governance policies appropriate for a publicly traded, regulated financial services organization.

  • Oversee SOX compliance within the tax function, including documentation, testing, and remediation.

  • Maintain strong internal controls over tax reporting in compliance with SOX requirements and other control regimes.

  • Ensure audit-ready processes for financial, statutory, and regulatory examinations.

6. Mergers, Acquisitions & Capital Markets

  • Lead tax due diligence and structuring for acquisitions, divestitures, and joint ventures across all segments.

  • Structure transactions to maximize after-tax value while maintaining regulatory compliance.

  • Support treasury initiatives, debt offerings, and capital structure planning from a tax perspective.

  • Evaluate tax implications of legal entity reorganizations and cross-border restructurings.

7. Cash Tax Management & Planning

  • Monitor and forecast cash tax obligations across the affiliated group.

  • Calculate and communicate the cash tax rate for the group and individual business segments.

  • Support efficient cash deployment strategies through tax planning, intercompany settlements, and timing strategies.

  • Assist in evaluating the tax implications of capital allocation, dividend planning, and legal entity structuring initiatives.

8. Technology & Transformation

  • Lead digital transformation within the tax function, including automation of compliance processes, integration with ERP systems, and deployment of tax data analytics tools.

  • Enhance transparency, data governance, and reporting accuracy across regulated entities.

  • Ensure scalability of tax systems to support regulatory and global expansion demands.

9. Leadership & Organizational Development

  • Build and lead a high-performing, technically sophisticated tax organization supporting a diversified financial services enterprise.

  • Develop succession planning and talent management strategies within the tax function.

  • Manage relationships with external auditors, Big Four firms, actuarial advisors (as relevant to insurance entities), and specialty tax consultants.

  • Foster a culture of integrity, accountability, collaboration, and continuous improvement.
