Job Summary

We are seeking a highly motivated, entrepreneurial Vice President to join our RWI practice. This role sits at the center of transaction execution, combining technical underwriting coordination, legal analysis, and client advisory. The Vice President will lead or heavily support the placement of RWI policies across a high volume of complex M&A transactions, collaborating closely with clients, insurers, and internal stakeholders. This role also plays a key part in client relationship management and broader platform integration across transactional insurance products.

Key Responsibilities

1. Deal Execution & Insurance Placement
• Lead or support end-to-end execution of RWI placements across multiple concurrent transactions
• Coordinate underwriting processes with insurers, including managing timelines, diligence flow, and negotiations
• Review transaction documentation (SPAs/APAs), structure submissions, and prepare underwriting materials (including NBI reports)
• Draft and negotiate RWI policy mark-ups, ensuring alignment with transaction risk allocation
• Drive efficient execution to meet tight deal timelines and client expectations

2. Risk Advisory & Coverage Analysis
• Advise clients and deal teams on transaction-related risks and insurance solutions
• Analyze due diligence reports to identify key exposures and inform insurer engagement
• Interpret purchase agreement provisions (reps, indemnities, baskets, caps) and assess implications for coverage
• Evaluate insurer terms, exclusions, and pricing to develop optimal coverage solutions for clients

3. Client Management & Relationship Development
• Serve as a day-to-day point of contact for clients, law firms, and counterparties during deal execution
• Build and maintain relationships with private equity sponsors, corporates, and key legal advisors
• Contribute to business development efforts, including supporting pitches, maintaining relationships, and identifying opportunities alongside senior brokers
• Support cross-selling of broader transactional risk solutions (Tax, Contingent/Structured, Credit)

4. Platform Integration & Internal Collaboration
• Collaborate with Tax, Structured Solutions, and Credit teams to deliver integrated risk solutions
• Share market intelligence, insurer feedback, and deal insights across the platform
• Contribute to internal best practices, templates, and execution standards 2 5. Team Development & Culture
• Mentor and support Analysts/Associates on deal execution and technical development • Contribute to a high-performance, collaborative team culture
• Provide guidance on diligence review, underwriting strategy, and client communication

Qualifications Education
• Bachelor's degree required
• JD, Bar Admission, CFA, or other relevant transactional/M&A credentials strongly preferred

Experience
• 4-7 years of experience in M&A (law firm preferred), transactional insurance, or related financial services sectors
• Strong understanding of M&A transaction mechanics, including purchase agreements and private equity structures
• Experience supporting or leading complex deal execution processes • Exposure to RWI or other transactional risk products is strongly preferred

Work Environment & Benefits

• Compensation: $215,000 - $250,000 base salary (commensurate with experience)
