Job Title: Technical Accounting Manager

Office Location: San Jose, CA

Job Overview:

The Technical Accounting Manager will be responsible for evaluating and documenting complex accounting matters, with a particular focus on M&A transactions, equity method investments, consolidation, and other non-routine transactions. This role will lead the preparation of technical accounting memos and accounting conclusions, supporting the company's monthly and quarterly close processes, and serve as a key partner to Finance, Corporate Development, Legal, Tax, and external auditors. The role will also oversee and coordinate statutory and consolidated audits and help ensure compliance with IFRS and applicable reporting requirements.

Key Responsibilities:

Technical Accounting & Research
  • Analyze complex and non-routine accounting transactions under IFRS and other applicable accounting standards.
  • Research accounting guidance and prepare comprehensive technical accounting memos documenting conclusions, accounting treatment, and supporting analysis.
  • Provide technical accounting guidance to Finance, FP&A, Legal, Tax, Treasury, and cross-functional teams.
  • Monitor new accounting standards and assess their impact on the company's financial statements and processes.

M&A and Complex Transactions
  • Lead accounting assessments for M&A transactions, business combinations, investments, divestitures, restructurings, and other strategic transactions.
  • Analyze purchase accounting, acquisition-related costs, contingent consideration, earn-outs, goodwill, intangible assets, and other transaction-specific accounting matters.
  • Partner with legal, Corporate Development, Tax, Valuation, and external advisers to ensure appropriate accounting conclusions and documentation.
  • Develop accounting policies and procedures for newly acquired businesses and complex transactions.

Equity Method Investments & Consolidation
  • Oversee accounting for equity method investments, including initial recognition, basis differences, impairment considerations, and periodic equity-method adjustments.
  • Support accounting for investments, subsidiaries, joint ventures, and other complex ownership structures.
  • Prepare and review consolidation entries, eliminations, intercompany transactions, and consolidated financial reporting.
  • Evaluate changes in ownership interests and their accounting implications.

Financial Close & Accounting Operations
  • Support the monthly, quarterly, and annual close processes, particularly for complex and judgmental accounting areas.
  • Review journal entries, account reconciliations, and supporting schedules for significant or unusual transactions.
  • Identify opportunities to improve accounting processes, controls, documentation, and close efficiency.
  • Establish and maintain accounting policies and internal control over complex transactions.

Audit & Statutory Reporting
  • Lead and coordinate statutory audits and consolidated financial statements audits, including planning, PBC requests, audit inquires, and resolution of accounting issues.
  • Serve as a key point of contact for external auditors on technical accounting matters.
  • Work with auditors and advisers to resolve complex accounting and reporting issues efficiently.

Qualifications:
  • Bachelor's degree in Accounting, Finance, or related field: CPA strongly preferred.
  • Approximately 7-10+ years of progressive accounting experience, including significant technical accounting experiences.
  • Strong knowledge of IFRS, including business combinations, equity method accounting, consolidation, investments, revenue recognition, leases, and other complex accounting areas.
  • Demonstrated experience with M&A accounting and purchase accounting.
  • Proven ability to independently research complex accounting issues and prepare high-quality technical accounting position papers/memos.
  • Experience managing external auditors and coordinating both statutory and consolidated audits.
  • Strong understanding of financial reporting, consolidation, internal control, and accounting operations.
  • Excellent analytical, project management, communication, and documentation skills.
  • Ability to operate effectively in a fast-paced environment with multiple complex transactions and competing priorities.
