Full Job Description
The Commercial Legal Team at Pinterest negotiates Pinterest's inbound and supplier agreements. We are looking for a Senior Commercial Counsel with a strong background in negotiating complex SaaS, AI and cloud infrastructure agreements to join our team. The position will manage workloads for and relationships with several of our cross functional partners, including Engineering, Security, Privacy, Finance, Procurement and IT. This role will play an important part in supporting Pinterest's cloud strategy across multiple platforms and helping the business efficiently scale its technology and infrastructure partnerships.
What you'll do:
  • Autonomously negotiate a high volume of complex SaaS, AI, compute infrastructure, data processing, professional services and other commercial transactions in a fast-paced environment.
  • Lead legal support for enterprise-level cloud negotiations with AWS and other cloud service providers, including advising on pricing structures, committed spend models, service descriptions, renewal terms, service levels, support, audit rights, termination and exit provisions.
  • Use your knowledge of data security, data privacy, AI, intellectual property and general commercial concerns to counsel the business on risks related to their transactions and offer practical solutions for addressing such risks in supplier agreements.
  • Partner closely with Engineering, Finance, Procurement, Security and Privacy teams to support cloud needs forecasting, budget alignment and strategic decision-making for major cloud and infrastructure transactions.
  • Advise on key legal and business issues in cloud and infrastructure transactions, including uptime commitments, business continuity, subcontracting, data use, compliance, portability and supplier accountability.
  • Help operationalize the key commercial, financial and legal terms of cloud infrastructure agreements by partnering with internal stakeholders to implement contracting requirements, track committed spend and renewal milestones, support compliance with reporting and audit provisions, and build practical processes that enable the business to realize the value of negotiated terms.
  • Support the business in evaluating alternative technologies, providers and contracting approaches to drive efficiency, flexibility and innovation.
  • Partner with internal business partners, attorneys and contracts managers to develop processes, playbooks and systems that help scale Pinterest's cloud and commercial contracting function globally.
  • Stay current with cloud contracting trends, emerging licensing and consumption models, and industry best practices to help Pinterest make informed, pragmatic decisions in a rapidly evolving space.
What we're looking for:
  • JD with minimum 8 years of experience in a legal environment, with significant experience negotiating complex SaaS, cloud services, technology infrastructure and commercial transactions.
  • Minimum 2 years of in-house experience at a technology company preferred.
  • Deep experience negotiating cloud compute, SaaS, hosting, data processing, professional services and other technology supplier agreements, with comfort advising on data privacy, data security, AI and general commercial risk.
  • Strong understanding of cloud computing business models, contracting structures and pricing frameworks, including consumption-based models, committed spend arrangements and enterprise technology agreements.
  • Experience partnering with Engineering, Infrastructure, Security, Finance and Procurement stakeholders on high-value, strategically important technology deals.
  • Experience translating negotiated contract terms into scalable internal processes and operational guidance for business teams.
  • Strong communication skills, particularly the ability to translate legal jargon and complicated contract concepts into clear, practical guidance for business teams.
  • A collaborative team player who is skilled at relationship building across the organization and is a proactive problem solver who can anticipate needs and offer solutions in partnership with business stakeholders.
