The Role:PartnerOne is seeking a Corporate Counsel to support commercial contracting across select portfolio companies. This is a full-time role focused on negotiating enterprise software transactions in a fast-paced commercial environment.
The Corporate Counsel will work closely with sales and business leaders to support customer and partner transactions. The role requires a practical, business-oriented lawyer who can help drive efficient deal execution while managing legal risk and advising internal stakeholders.
Responsibilities:- Draft, review, and negotiate a broad range of commercial agreements, including:
- Enterprise software license agreements (including on-premise licensing models)
- Cloud services agreements
- Reseller, VAR, OEM, and other channel partner agreements
- Professional services agreements
- Support sales and commercial teams in negotiating customer and partner agreements.
- Advise business stakeholders on contract structure, risk allocation, and negotiation strategy.
- Manage multiple concurrent negotiations in a high-volume commercial environment.
- Collaborate with sales, finance, operations, and product teams to resolve commercial issues and support deal execution.
- Assist with commercial disputes and escalations, working with external counsel where
- appropriate.
Requirements- 7+ years of relevant legal experience.
- Experience negotiating enterprise software agreements, including software license and SaaS agreements with corporate customers.
- Experience working with or supporting sales teams in negotiating customer and partner agreements.
- Familiarity with enterprise software licensing models, including subscription and on-premise licensing structures.
- Experience negotiating reseller, VAR, OEM, or other channel partner agreements preferred.
- Prior in-house experience preferred, or law-firm experience representing software or technology companies.
- Strong contract drafting and negotiation skills, with the ability to identify legal risks and propose practical solutions.
- Strong communication and interpersonal skills with the ability to advise non-legal stakeholders.
- Ability to manage multiple matters simultaneously and work independently in a fast-paced commercial environment.
- Active membership in a relevant Bar association.
The estimated compensation range for this role in the U.S. is $160,000-$185,000 USD, and Canada is $130,000-$180,000 CAD. Actual compensation will be based on the candidate's country of residence, local market benchmarks, and relevant experience.
