Job Description

We're seeking a future team member for the role of Senior Vice-President/Counsel to join our Global Markets and Treasury ServicesTeam in our Legal Hub and Practice. The attorney who fills this role will be expected to contribute as part of a larger team (located across BNY's U.S. offices) and to independently advise business colleagues. This position will require the individual to draft and negotiate a variety of trading documents and other related agreements. A successful applicant will work closely with business colleagues to respond to their priorities and support a growing and demanding business model.

This role is located in Lake Mary, FL, Pittsburgh, PA, New York City, NY, or Boston, MA.

In this role, you will make an impact in the following ways:
  • Draft, review, and negotiate legal documents for BNY's Fixed Income Clearing Sponsored Member Program; including the New York law-governed Master Repurchase Agreement and the New York law-governed FICC SMP Customer Agreement;
  • Draft, review, and negotiate legal documents for BNY's secured term loan business;
  • Demonstrated comfort using and creating AI-enabled productivity tools. Strong curiosity and adaptability regarding emerging legal technology, including document automation, knowledge management, and AI-assisted review tools.
  • Provide legal advice and guidance on related rules, regulations and applicable law;
  • Advise business stakeholders on new potential new clearing relationships;
  • Develop and maintain legal templates, negotiation playbooks, guidance notes, and governance materials;
  • Identify, assess, and mitigate potential legal and regulatory risks including maintaining awareness of changing applicable legal landscape;
  • Function as a trusted internal resource capable of using knowledge of BNY Mellon's businesses, products, services and/or strategies to articulate and advance legal positions;
  • Work collaboratively, seeking guidance and input from colleagues throughout the organization. Partner with colleagues who also serve in Risk, Credit, and Compliance.
  • Support the business with client development efforts and assist in developing new products or changes to existing ones;
  • Manage outside counsel both domestic and international, reviewing work for appropriateness, quality, and alignment to expectation; and
  • Support other legal functions and products within the Legal Hub and Practice team; including the agency securities lending, principal lending, and secured term loan products.

To be successful in this role, we're seeking the following:
  • Juris Doctor degree from an accredited law school and a minimum of 5 year's of admitted legal practice with a law firm or relevant in-house experience;
  • Licensed attorney admitted to practice in Florida, New York, or Pennsylvania;
  • Demonstrated knowledge of repurchase transactions, central clearing, and capital markets transactions;
  • Familiarity with sponsored member clearing models is helpful but not required:;
  • Mastery in drafting, reviewing, and negotiating legal documents;
  • Demonstrated ability to manage a demanding caseload of negotiations;
  • Excellent communication and collaboration skills; and
  • Strong working knowledge of laws and regulations in the field of securities finance and cleared repurchase transactions as well as broader regulatory and/or investment advisory experience.

Base salary offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. Base salary is only part of the total rewards package, which may include eligibility for an annual discretionary incentive award. Subject to the terms and conditions of the applicable plans then in effect, eligible employees may enroll in a 401(k) plan as well as participate in Company-sponsored medical, dental, vision, and basic life insurance plans for the employee and the employee's eligible dependents.
