Full Job Description
We are currently recruiting for a Senior Paralegal to join EthosEnergy's Legal Department. While this is a remote position, the preferred candidate will be located in the greater Houston area. This position provides general legal and administrative support to the Legal team, including the following responsibilities below.

Job Responsibilities

  • Preparing non-disclosure/confidentiality agreements and reviewing/approving counterparty edits/redlines.
  • Preparing and circulating monthly reports to management on status of open litigation matters.
  • Maintaining/updating director and officer slates for the company's entities.
  • Managing Ultimate Beneficial Owner (UBO) filings and updates to same.
  • Manage governance matters for the company's US and Latin American entities, including filings to qualify to do business in new jurisdictions, updating articles of association/certificates and other documents with Secretaries of State, assisting with compliance audits and annual filings, and managing dissolution of entities where needed.
  • Tracking the company's required patent/trademark renewals with support from outside counsel and assisting outside counsel with renewals, as needed.
  • Preparation of letters, business communications, legal documents, and presentations.
  • Supporting the attorneys on administrative matters.
  • Overseeing the Legal Dept. Share Point site to ensure client requests for legal support on various matters are assigned out to the attorneys for further handling.
  • Managing data room uploads/organization for M&A matters.
  • Assisting with due diligence, as needed, on transactional matters.
  • Archiving and filing documents; maintaining the Legal Dept. files to ensure records are properly organized, updated, accurate, and accessible.
  • Assist with issuing preservation orders/litigation holds, coordinating and reviewing discovery and document collection with IT and other departments; assisting with responding to third party subpoenas for documents/information.
  • Assist with managing outside counsel/expert invoices; routing same for review/approval by attorneys and processing for payment through Finance Dept.
  • Assist with preparing minutes of meetings and circulating for Board approval.
  • Ability to travel to company's Pearland, TX office to access hard-copy corporate records if/when needed (anticipated to be infrequent).
  • Completion of other assigned tasks, as needed by the attorneys.

Required Skills / Knowledge

  • Superb attention to detail, organization, analytical and communication skills.
  • Self-motivated and ability to proactively assume responsibility and consistently follow through on assignments.
  • Ability to handle multiple assignments, work well under pressure and have the flexibility to assist legal team in meeting demands of the business.
  • Ability and maturity to maintain confidential information and work independently with minimal supervision/guidance.
  • Advanced proficiency in MS Word, Excel, PowerPoint, Outlook and Adobe Acrobat.
  • Good interpersonal skills.
  • Energetic and capable of self-direction.
  • Excellent oral and written communication skills.

Experience

  • At least 8+ years working as a paralegal (in-house law department or major law firm required) and active status as a Texas Notary.

Education Requirements

  • BA/BS preferred with Paralegal certificate from an accredited paralegal program.
