SUMMARYThe Corporate and Entity Management Paralegal supports the legal department, focusing on entity management, general transaction support, corporate governance matters, and project management.
KEY RESPONSIBILITIES - Update and maintain a corporate entity management database with information on legal entities (including the states of incorporation, qualifications to do business and organizational structures), entity officers and boards of directors, and corporate records for such entities to ensure meticulous corporate recordkeeping
- Oversee entity compliance, including jurisdictional qualifications to do business, withdrawals, and fictitious name filings
- Liaise with external service providers in different jurisdictions, including legal counsel, to ensure compliance with local laws and regulations
- Prepare and route corporate resolutions and other documents for review and signature
- Provide entity support for transactions, including assistance with structuring, interim structures, fictitious business names, and related matters
- Assist Counsel with strategy and process improvement for current entity management processes
- Manage all invoicing related to the entity management database
- Work with other members of the Legal Department on special projects and initiatives, including coordinating and/or leading projects
COMPETENCIES- Knowledge of entity management systems (primarily the Corporation Services Company entity management system) and some knowledge of the real estate industry
- Strong competency in Excel (pivot tables, lookups, etc.)
- Ability to trace corporate authority through entities and different structure types (member managed, board managed, joint ventures, etc.)
- Strong verbal and written communication skills and ability to draft, comprehend, analyze, and interpret entity organizational documents and structures
- Strong interpersonal and presentation skills and ability to effectively communicate across departments with all level positions
- Strong organizational, analytical, and technical skills, including attention to detail
- Ability to self-motivate and work in a fast-paced, dynamic environment

MINIMUM REQUIREMENTSExperience: At least 5-10 years of experience as a paralegal is required (depending on educational background), including a strong skill set in entity management and experience with corporate secretary functions.
Education: Bachelor's degree in relevant field with 5 years' experience, or Associate's Degree with an additional 5 years (10+ years) of paralegal experience.
COMPENSATION Salaries may vary by location. The range for this role in New York is $82,000 - $104,000 plus bonus. Final compensation determinations are made based on a variety of factors, including, but not limited to, the candidate's individual experience, education, and skill level; business strategic priorities; primary office location; scope and anticipated strategic impact of the role.
