Senior Manager, Contract Administration - BD / VCAbout the Role:At Boston Scientific, the corporate legal team is seeking candidates for a new contract administrator role within the business development legal team. Ideal candidates will have at least four to six years of direct experience in supporting commercial and/or corporate legal functions at a law firm, venture and/or private equity fund, or a company comparable to Boston Scientific. This role will directly support attorneys from deal inception through post-closing with document management and analysis of matters related to ongoing obligations and new projects arising from Boston Scientific's external business development activities. Required skills include high competency with respect to legal drafting, organizational skills and effective time management. Use of technology to advance strategic initiatives will be a key prerequisite for a successful candidate. This role requires a self-driven problem solver willing to lead various projects in a manner that identifies opportunities for efficiency in current work state.
The work mode for this position is hybrid (on-site minimum of 3 days a week) at the BSC campus in Marlborough, MA.
Your Responsibilities Include:- Prepare, review, and track key organizational documents such as prior and current round financing documents, operating agreements, KYC and EIN matters, side letters, checklists, and venture financing and/or M&A ancillary agreements, including interface with attorneys, outside counsel, paying agents, and other third parties, as needed.
- Document management and analysis of transactional documents to execute on business development initiatives.
- Drafting correspondence and deliverables required for M&A and venture financing projects.
- Preparation and review of ancillary legal documents that impact transaction closings.
- Serving as a point of coordination with external advisors to manage document flow, timelines, and transaction deliverables.
- Management of strategic action items to collaborate with attorneys for timely execution on business goals.
- Partnering with attorneys to develop tools such as agreement playbooks, checklists, diligence materials, and pre-established internal guidelines to assist with negotiation and preparation of legal agreements.
- Implementing technology and AI solutions, including fluent use of AI agents and prompts, to streamline key corporate processes, such as: tracking transaction life cycles, preparating uniform documentation across business development activities, managing post-acquisition requirements and obligations, reviewing complex transaction-related spreadsheets and delivering on projects and closing documents with tight deadlines.
- Coordinating cross-functionally to ensure elements supporting new acquisitions or venture financings are appropriately aligned with company-wide strategic goals.
- Using independent judgment and discretion to solve legal-centric problems in repeatable situations.
What We're Looking For:Required Qualifications: - Bachelor's degree required
- At least 4-6 years of related work experience supporting day-to-day work of attorneys.
- Strong proficiency in MS Office (e.g. Outlook, Word, Excel, TEAMS & PowerPoint), and fluency with AI agents and prompts.
- Highest ethical standards. Discretion and sound judgment when dealing with confidential and/or sensitive information.
- Strong communication skills (written and oral), interpersonal skills, and the ability to foster positive relationships internally and externally, with ability to work across multiple levels of an organization.
- Proficient with new technology capabilities and use cases.
- Ability to operate both independently and as part of a collaborative team, proactively engaging stakeholders to drive alignment and execution
