Position Title: Senior Legal Counsel
Position Summary:Senior Legal Counsel, Investment Funds, provides strategic legal and regulatory advice in support of the organization's public investment fundsand its exempt market / offering memorandum (OM) funds.
Senior Legal Counsel enables the organization's product development, portfolio management, , and distribution teams, while coordinating with and advising compliance to maintain investment fund activities adherence with Canadian securities laws and regulatory requirements.
Senior Legal Counsel coordinates with internal stakeholders and external counsel to provide practical, value-added legal advice to the organization.
Essential Functions: Public Funds (NI 81-102)- Advise on the structuring, organization, launch, and ongoing operation of public investment funds subject to NI 81-102, NI 81-101, NI 81-106, and related Canadian securities legislation.
- Draft, review, and maintain public fund disclosure documents, including prospectuses, fund facts, MRFPs, material change reports, and related regulatory filings.
- Advise on fund governance matters, including investment restrictions, valuation, conflicts of interest, and Independent Review Committee (IRC) matters.
- Support continuous disclosure obligations and filings with securities regulators in coordination with compliance and regulatory teams.
Exempt / OM Funds- Provide legal advice for exempt market and OM funds, including fund structuring, organization, amendments, offering memoranda, subscription agreements, and investor disclosures.
- Advise on compliance with exempt market rules, prospectus exemptions, and applicable CSA guidance.
- Support investor communications for private funds.
Regulatory & Business Advisory- Advise on legal and regulatory risk and disclosure issues related to fund operations.
Governance, Risk & External Counsel Management- Support investment fund governance frameworks, policies, and procedures.
- Assist with regulatory reviews, audits, and inquiries by securities regulators relating to investment fund matters.
Qualifications:- LL.B. or J.D. and member in good standing with a Canadian law society (Ontario
- preferred).
- Five to eight years of legal experience, with significant exposure to securities
- regulation and investment funds preferably gained in house or at a major Canadian law firm.
- In-depth knowledge of Canadian securities regulatory framework, especially as it pertains to mutual funds, ETFs, and investment dealers.
