GENERAL FUNCTION: Attorney supporting Enterprise Workplace Services ("EWS"), with a primary focus on complex ground lease transactions and related real estate matters that advance the Bank's strategic expansion plans. ESSENTIAL DUTIES AND RESPONSIBILITIES: 3 Provide legal support to the Bank's Enterprise Workplace Services ("EWS") group across the real estate lifecycle, with significant responsibility for ground lease transactions. 3 Draft, review, and negotiate complex ground leases and related documents, work letters, memoranda of lease, recognition and nondisturbance agreements, estoppels, consents, amendments, assignments, and other ancillary instruments. 3 Lead ground lease negotiations and advise on key risk and business terms, including ownership of improvements, construction and delivery obligations. 3 Review and negotiate office and retail leases, lease amendments and renewals, purchase and sale agreements, ATM agreements, license agreements, construction-related agreements, and other ancillary real estate documents. 3 Interpret ground leases and other real estate agreements, resolve operational and construction-related questions, and support the management of defaults, disputes, and enforcement matters. 3 Collaborate with EWS stakeholders, including real estate, construction, design, facilities, finance, insurance, environmental, and risk partners, to structure transactions and meet critical project milestones. 3 Approach legal matters in a cooperative, practical, and collaborative manner, working constructively with business partners and other stakeholders to develop solutions that balance legal risk with business objectives. 3 Manage outside counsel and a high volume of sophisticated transactions while maintaining responsiveness, sound judgment, and accountability for deadlines. MINIMUM KNOWLEDGE, SKILLS AND ABILITIES REQUIRED: 3 Three to six years of relevant commercial real estate legal experience, including meaningful experience drafting and negotiating complex ground leases, purchase and sale agreements, and retail lease agreements. 3 J.D degree from accredited law school required 3 Admission to a state bar. 3 Exceptional organization skills, and communication skills (both written and verbal). 3 Ability to interface successfully with senior management. 3 Ability to handle a variety of internal client demands. 3 Strong drafting and negotiation skills, with the ability to identify and resolve legal, operational, development, financing, and property-level risks in ground lease transactions. 3 Ability to spot issues, assess risk, think critically, and problem solve. 3 Research capabilities. 3 Basic understanding of bank regulatory framework is preferred, but not required.
