  • Provide support for M&A activities and strategic transactions, from NDAs to due diligence coordination.
  • Manage and track legal invoices, ensuring accurate communication regarding finance-related accruals.

Full Job Description

The Senior Corporate Paralegal is a key member of the Company’s Legal and Compliance Department, working closely with the team on corporate compliance, litigation support, administrative support, organization and data management and chief administrative lead for the department. 
In this role you will engage directly with executive leadership, as an integral team member of a well-respected legal department.

Essential Duties and Responsibilities 

● Management and compliance for all entities subsidiaries (key focal point and not an ancillary aspect of the job). 

● Reviewing, drafting, and managing routine commercial agreements (NDAs, vendor contracts, service agreements) and overseeing contract repository workflows.

● Coordinating trademark, copyright, or domain renewals and maintaining corporate intellectual property portfolios.

● Manage subpoenas, requests for documents and other RFIs. 

● Support M&A activity and other strategic transactions, including NDAs, due diligence, and virtual data rooms 

● Manage legal invoices by reviewing, approval and keeping track of costs and estimates. Communicate with finance for appropriate accruals.

Required Skills, Education and Certifications: 

● 7+ years’ professional experience as a corporate paralegal, preferably at a mid-size corporation. 

● Hands-on experience with entity management databases and e-signature tools.

● Bachelor’s degree or equivalent 

● Strong organizational and planning skills 

● Detail-oriented with a commitment to accuracy 

● Ability to effectively prioritize and multi-task under limited direction, and ability to shift priorities quickly while working under tight timelines 

● Flexibility and good judgment with a desire to identify needs, improve and streamline processes 

● Superior oral and written communication skills 

Physical Requirements: 

● Ability to lift and carry up to 10-15 pounds 

● Ability to sit, stand and walk for prolonged periods of time throughout the work day 

● Ability to use standard office equipment such as personal computer, laptop, telephone, photocopy machine, etc. 

● Ability to administer mail and shipping of documents
