Senior Corporate Counsel - International

LeoLabs is seeking a highly motivated, mission-driven Senior Corporate Counsel - International to support our continued global expansion. This is a key role for an experienced attorney who thrives in a fast-paced environment and is excited to help scale a growing company operating at the forefront of space technology.

Reporting directly to the Chief Legal Officer, you will play a central role in building and maintaining LeoLabs' global legal infrastructure. You'll provide strategic legal support across our international operations as we expand our footprint in Space Domain Awareness, Space Traffic Management, and Missile Defense.

You'll collaborate closely with cross-functional stakeholders and a distributed legal team across the U.S., EMEA, and APAC, helping ensure strong governance, compliance, and execution of key strategic initiatives.

What You'll Do
  • Global Corporate Governance & Compliance
    • Support governance and compliance for LeoLabs' international subsidiaries, partnering with local counsel to maintain good standing and meet regulatory requirements
    • Prepare and manage corporate documentation (e.g., board resolutions, intercompany agreements, powers of attorney)
    • Maintain and update legal entity structures and organizational records
  • International Expansion & Entity Management
    • Assist in forming new legal entities and establishing operations in new markets across EMEA, APAC, and the Americas
    • Manage changes to directors, officers, signing authorities, and registered offices
    • Develop and execute step plans for global expansion initiatives
  • Strategic Transactions & Operations
    • Support M&A transactions, joint ventures, and entity integration or rationalization efforts
    • Partner cross-functionally to provide practical, business-oriented legal guidance
  • Commercial & Regulatory Support
    • Review, draft, and negotiate a variety of commercial agreements, including MSAs, SLAs, and SaaS contracts
    • Advise on intellectual property, data rights, and regulatory compliance (U.S. and international)
    • Monitor legal and regulatory developments impacting the business and advise leadership accordingly
  • Risk Management
    • Identify legal risks and develop proactive mitigation strategies
    • Support compliance across a range of areas including employment, tax, export controls, real estate, and insurance
  • Legal Operations Support
    • Provide high-level support to the Chief Legal Officer, including documentation, coordination, and corporate recordkeeping
    • Engage and manage outside counsel efficiently and cost-effectively

Required Qualifications
  • J.D. from an ABA-accredited law school and active membership in at least one U.S. state bar
  • 8+ years of relevant legal experience (law firm and/or in-house), with strong focus on corporate governance and international subsidiary management
  • Experience supporting global operations and navigating international compliance requirements
  • Strong background in commercial contracting, including SaaS and technology agreements
  • Excellent written and verbal communication skills, with strong attention to detail
  • Proven ability to manage multiple priorities independently in a fast-paced environment
  • Sound judgment with the ability to identify risks and provide practical, business-focused solutions
  • Collaborative mindset with a proactive, mission-oriented approach

Preferred Qualifications
  • Experience in a high-growth or venture-backed company
  • Background in the space, aerospace, or SaaS industries
  • Experience with M&A transactions and post-deal integration
  • Familiarity with international procurement laws and regulatory frameworks
  • Experience managing intellectual property portfolios
  • Knowledge of U.S. and international export controls (e.g., EAR, ITAR)
