Team Overview PowerSchool’s Legal team is a trusted business partner that provides practical, business-oriented guidance on commercial transactions, regulatory compliance, and risk management. The team collaborates closely with stakeholders across the company to support both strategic initiatives and day-to-day operations.

Responsibilities Description About the Role

The Commercial Legal team manages the full lifecycle of PowerSchool’s commercial agreements, supporting transactions with customers, vendors, and partners while enabling the business to move efficiently and responsibly manage risk.

 

This role sits at the intersection of commercial contracting, international expansion, strategic partnership,  and business enablement. As a Contracts Manager, you will play a key role in supporting high-impact business relationships while helping strengthen PowerSchool’s approach to contracting, compliance, and risk management.

 

You will partner closely with legal, international sales, procurement, strategic partnership, and compliance teams to review and negotiate agreements, support contracting processes, and contribute to global expansion and strategic partnerships. This is a highly collaborative and visible role that offers exposure to complex commercial transactions and evolving privacy considerations in a technology environment.

What You’ll Do
  • Serve as a vital member on the company’s legal team primarily responsible for providing legal assistance and counseling to support international sales and renewals, global sector and state alliances, and strategic partnerships.  This includes triaging issues, establishing priorities and escalating complex issues as needed in support of these functions.
  • Assist attorneys and senior leadership to support corporate development team in conducting due diligence as needed in support of merger and acquisition and related integration initiatives.
  • Own the review, drafting, and negotiation of a high volume of commercial agreements, ensuring alignment with business goals while mitigating risk
  • Responsible for reviewing, negotiating and redlining international sales and renewal agreements and quotes to ensure contractual and commercial consistency, with secondary responsibility to review, negotiate and edit North America sales and renewals agreements and quotes
  • Responsible for providing legal support as required to support the formation, maintenance, and expansion of global partner alliances and strategic partnerships, including reviewing, evaluating, redlining and negotiating various partnership agreements such as reseller, distribution, referral, independent software vendor, and channel partner agreements
    • Provide support to enforce partnership agreements and protect company’s proprietary materials and intellectual property
    • Prepare clear, practical contractual responses to requests for proposals (RFPs) and requests for information (RFIs)
    • Partner cross-functionally with stakeholders in Sales, Partner Alliances and Partnerships, Procurement, Compliance, and Legal to resolve contractual and business issues efficiently
    • Identify risks and recommend commercially practical solutions in collaboration with attorneys and senior team members, including identifying and addressing data protection and information security risks in agreements
    • Support contract lifecycle management processes, including maintaining templates, extracting key terms, and managing executed agreements within contract systems
    • Contribute to improvements in contracting workflows, templates, and processes to increase efficiency and scalability
    • Take on additional responsibilities and projects that support the Legal team’s strategic objectives
Qualifications Minimum Qualifications
  • Minimum 6+ years of experience drafting, reviewing, and negotiating commercial agreements in a law firm or in-house legal environment
  • Bachelor’s degree or equivalent practical experience
  • Proven ability to independently manage a high volume of commercial contracts, including:
    • Master Services Agreements (MSAs) and professional services agreements
    • SaaS and software license agreements
    • Partnership, reseller, distribution, strategic alliance, procurement, and vendor agreements
    • Statements of Work (SOWs)
    • Non-disclosure agreements (NDAs)
  • Strong analytical and problem-solving skills, with the ability to identify risks and propose practical solutions
  • Excellent written and verbal communication skills, with the ability to collaborate across functions and levels
  • Strong attention to detail and ability to manage multiple priorities in a fast-paced environment
  • Experience identifying basic privacy and information security issues in commercial agreements
Preferred Qualifications
  • Experience with technology contracting, particularly in SaaS or software environments
  • Working knowledge of partnership, alliance, reseller, distribution and channel partner agreements
  • Familiarity with intellectual property and technology licensing concepts
  • Experience with integration projects post-acquisition
  • Experience with contract lifecycle management tools and systems (e.g., Salesforce, CLM platforms, Jira, Fresh Service, Coupa)
  • Law or paralegal degree certification

A reasonable estimate of the base compensation range for this position is $88,000 - $110,000 USD. This compensation range is specific to the United States and it incorporates many factors including but not limited to an applicant's skills and prior relevant experience and training; licensures, degrees, and certifications; internal equity; internal pay ranges; and market data/range parameters.
