Job Description

The Paralegal, Corporate Law, will report to the senior attorney responsible for corporate matters, and will support a variety of activities within the legal department. Although the focus will be corporate law and subsidiary governance, the paralegal may also be asked to support litigation and disputes, as well as intellectual property, employment and privacy law matters. The position will include both administrative duties, such as file and matter management, and substantive responsibilities, such as drafting various contracts and corporate documentation.

Location: This role will be in-person based in our corporate offices in New York, NY with flexibility to work in Whippany, NJ from time to time if preferred.

Responsibilities

  • Assist counsel with global corporate transactions.
  • Assist the legal department on a broad range of legal and corporate governance issues.
  • Liaise with company officers, outside counsel and local teams on global subsidiary maintenance and governance.
  • Draft resolutions, certificates and other basic corporate documents, basic preliminary contract review under attorney supervision, and basic correspondence.
  • Maintain corporate minute books and files including for foreign subsidiaries.
  • Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.
  • Liaise with company officers and outside counsel as necessary.
  • Assist in investigations, document production, interrogatories, file management, record maintenance and litigation summaries.
  • General office administration, including calendar/docketing, operations issues and file maintenance.
  • Conduct research on regulatory and corporate legal issues relevant to the company and prepare summaries, memos and related documents.
  • Support compliance programs relating to business ethics and codes of conduct, compliance training, communications and outreach, anti-money laundering, government sanctions, data privacy, records management and unclaimed properties.


The hiring range for this position ranges from $36.89 - $45 per hour. The rate of pay offered will be dependent upon candidates' relevant skills and experience.
