Description POSITION DESCRIPTION: We are seeking a detail-oriented and experienced Paralegal to support our in-house legal team. The ideal candidate will possess a strong background in corporate governance, tra nsactional support, and compliance, with the ability to manage multiple projects in a fast-paced environment. You will play a key role in maintaining corporate records, preparing tra nsactional documents, and assisting with mergers, acquisitions, and corporate financing activities. This position is 100% onsite located in Irvine, CA office.
RESPONSIBILITIES: - Corporate Governance: Maintain and manage corporate minute books, board resolutions, subsidiary records, and annual reports across multiple jurisdictions.
- Compliance & Regulatory Filings: Monitor and ensure compliance with federal, state, and local regulatory requirements, including state annual report filings and foreign qualifications.
- Due Diligence: Coordinate and manage virtual data rooms (VDRs) and organize due diligence processes for corporate transactions and audits.
- Liaison: Act as a primary point of contact for internal departments, outside counsel, registered agents, and financial institutions regarding corporate matters as necessary.
- Legal Research: Conduct legal and factual research on corporate law, regulatory updates, and industry standards as requested by attorneys.
- Transactional Support: Review and redline NDAs, assist with organization of documents for mergers, acquisitions, and joint ventures as requested by attorneys. Compile information and contents for exhibits to all agreements. Help support the contract execution process, including assembling agreements and exhibits, and obtaining signatures from authorized signatories as needed.
- Backup team members within the Legal Ops Team as necessary and provide support to any ad-hoc projects as necessary.
REQUIRED QUALIFICATIONS: - Bachelor's degree and/or a Paralegal Certificate from an ABA-approved program.
- Minimum of 3+ years of dedicated paralegal experience within a law firm or corporate legal department.
- Advanced knowledge of Microsoft Office Suite (Word, Excel, PowerPoint), Acrobat Pro, and experience with entity management tracking tools and contract management systems.
- Exceptional written and verbal communication skills with a high degree of professionalism and discretion when handling confidential matters.
- Superior attention to detail, exceptional time-management skills, and the ability to prioritize tasks effectively under tight deadlines.
COMPENSATION: In accordance with applicable pay transparency laws, the anticipated annual base salary for this position is:
- Zone 1 (Bay Area, NYC): $86,400 - $95,000
- Zone 2 (CA, NJ, NY): $79,200 - $87,100
- Zone 3 (All others): $72,000 - $79,200
The applicable salary range is based on the employee's primary work location. Individual compensation will be determined based on qualifications, relevant experience, education, skills, internal equity, and other business-related factors.

The salary range is required by the California Pay Transparency Act and may differ depending on the location of those candidates hired nationwide. Actual compensation is influenced by a wide array of factors including but not limited to, skill set, education, licenses and certifications, essential job duties and requirements, and the necessary experience relative to the job's minimum qualifications.
