We currently have an exciting career opportunity for a
Managing Director to join the
M&A Insurance Advisory team.
CohnReznick is a hybrid firm and most of our professionals are located within a commutable distance to one of our offices. This position is considered hybrid which means team members are expected to be thoughtful and intentional in how they create opportunities for in-person collaboration. While the cadence of in-office presence is determined at the team level, our professionals are encouraged to be in the office/together in person on average 3 days a week.
YOUR TEAM. This position will support our
M&A Insurance Advisory practice. This group provides a wide suite of services to clients, giving you the opportunity to learn, grow, and build out your skills. As a member of this team, you'll interact with team members across all levels within the practice.
YOUR ROLE. We are seeking a senior leader for the M&A Insurance practice, focused on advising clients in representation and warranty insurance (RWI) disputes.
This role will lead engagements involving alleged breaches of representations and warranties, GAAP and accounting policy interpretation issues, and other matters arising from purchase agreements and related transaction documents.
The ideal candidate combines deep transaction accounting expertise with strong dispute resolution judgment, commercial awareness, and the ability to act as an expert and credible decision-maker in contentious matters.
Responsibilities include but not limited to: Practice Leadership & Business Development- Contribute to the firm's growing M&A Insurance practice.
- Develop relationships with clients, law firms, investment banks, insurance brokers, and transaction advisory professionals.
- Collaborate with Transaction Advisory, FDD, valuation, restructuring, and litigation support teams across the firm.
- Develop practice methodologies, templates, and thought leadership relating to purchase price adjustment disputes and dispute resolution mechanisms.
Client Advisory Services- Advise clients in underwriting and issuance of RWI policies relating to:
- Analyze SPAs and related transaction documents
- Prepare expert-style analyses, position papers, rebuttal reports, and settlement support materials as required.
- Lead negotiations and accounting discussions between counterparties and counsel.
Team Leadership- Recruit, mentor, and develop professionals within the practice.
- Provide technical oversight and quality review of engagement deliverables.
- Support training initiatives relating to purchase agreements, accounting principles, and dispute resolution methodologies.
The successful candidate will have: Required Experience- 10+ years of experience in transaction advisory, transaction accounting, disputes, audit, or related financial consulting.
- Significant experience analyzing purchase agreements and post-closing adjustment mechanisms.
- Demonstrated experience resolving disputes relating to working capital, debt, cash, transaction expenses, earn-outs, and accounting policy application.
- Strong understanding of U.S. GAAP and transaction accounting concepts.
- Existing relationships within the private equity, legal, and M&A community preferred.
Technical Skills- Deep understanding of:
- Ability to interpret complex contractual accounting provisions and dispute resolution clauses.
- Strong written communication and report drafting skills.
Professional Credentials- CPA strongly preferred.
- CFA, ABV, CFF, or other dispute/accounting credentials a plus.

In
New York, the salary range for aDirector/Managing Directoris $200,000 to $350,000. Actual compensation within the range will be dependent upon the individual's skills, experience, qualifications and location, and applicable employment laws.
