What we need

Exol is seeking a commercially minded Legal Counsel to join the Legal team and report directly to the VP Legal. This high-impact, hands-on role is ideal for an attorney who thrives in a fast-paced environment, operates independently, and can help build scalable legal processes, contracting standards, systems, and practices as the business grows.

The role will focus on commercial contracting, vendor and procurement agreements, automation and technology transactions, real estate, and intellectual property. Legal Counsel will partner with business teams to provide practical legal advice, manage risk, and enable speed of execution.

This role offers visibility with VP Legal and business leadership, broad exposure to strategic initiatives, and growth opportunities as Exol and its Legal function evolve.

What you'll do
  • Serve as a trusted legal advisor to the VP Legal and business stakeholders on commercial, operational, and transactional matters.
  • Draft, review, negotiate, and manage vendor, procurement, services, software, licensing, supply, SOW, and other strategic agreements.
  • Support automation and warehouse technology transactions, including robotics, material handling systems, software, equipment, integration, maintenance, and related services.
  • Partner with procurement and business teams on vendor and supplier relationships, advising on commercial, risk, IP, data, termination, and liability terms.
  • Support real estate and facilities matters, including leases, amendments, licenses, easements, access agreements, warehouse arrangements, and construction-related agreements.
  • Advise on intellectual property matters, including ownership, licensing, confidentiality, inventions, trademarks, copyrights, software, data rights, and related contract provisions.
  • Counsel business teams on contract interpretation, obligations, risk allocation, disputes, renewals, terminations, and lifecycle issues.
  • Build scalable legal processes and infrastructure, including contracting workflows, approvals, templates, playbooks, and standard terms.
  • Own and improve CLM and contract systems, including intake, workflows, approvals, repositories, reporting, and renewal tracking.
  • Streamline, standardize, and automate legal and contracting processes in partnership with internal teams.
  • Manage outside counsel for specialized matters with a cost-conscious approach.
  • Support the VP Legal and Legal team on other commercial and transactional matters as needed.


What you'll need
  • Juris Doctor (JD) from an accredited law school. Admission to at least one U.S. state bar and in good standing.
  • Minimum of 10 years of legal experience advising on commercial and transactional matters, preferably in-house and/or at a leading law firm.
  • Strong experience drafting and negotiating vendor, procurement, technology, services, supply, and other commercial agreements.
  • Experience with automation, robotics, warehouse technology, software, equipment, or other technology transactions strongly preferred.
  • Experience supporting commercial real estate and facilities matters, including leases and related agreements.
