As a Senior Legal Counsel, you will provide strategic legal advice and counsel to internal business partners with respect to CVS's partnerships with pharmaceutical manufacturers, contract drafting, negotiation, and general legal support. You will identify business and legal risks and provide solutions which balance legal issues and business objectives. In this role, you will work with Trade leadership to formulate strategy regarding pharmaceutical purchases and rebates and other partnerships within the industry. You will be expected to develop a keen understanding of the enterprise Trade Strategy Team and operational goals, and work diligently to develop and maintain positive relationships with manufacturers and clients at all levels of the organization.
RESPONSIBILITIES INCLUDE:
• Provide legal and strategic advice to business partners on a wide variety of Trade related matters and work collaboratively with other attorneys and partners on matters related to agreements with pharmaceutical companies and legal and regulatory compliance.
• Negotiate and draft rebate contracts and related agreements between CVS and pharmaceutical manufacturers.
• Collaborate with Trade internal client teams to develop new product initiatives and partnership opportunities.
• Keep up to date on regulatory and legal changes impacting Trade business teams; develop strategies for navigating and ensuring compliance with same; provide advice to internal business groups regarding new laws and regulations related to Trade.
• Draft and review Confidentiality Agreements and other related vendor agreements in support of strategic initiatives and partnerships pursued by the Trade Strategy Team.
• Provide legal support, regulatory guidance and strategic counsel to internal business partners to facilitate partnerships with manufacturers and negotiate through potential disputes. Will work with Trade leadership to formulate strategy regarding pharmaceutical purchases and rebates and other partnerships within the industry.
• You will be expected to develop a keen understanding of the enterprise Trade Strategy Team and operational goals, and work diligently to develop and maintain positive relationships with manufacturers and clients at all levels of the organization.
• Work closely and collaborate with CVS Health legal, compliance and privacy colleagues, including in the regulatory, intellectual property, risk management and litigation groups to support contract negotiations Trade business teams and pharmaceutical manufacturers team. Partner with other attorneys and partners on contractual arrangements, legal and regulatory compliance, and general corporate legal issues.
Required Qualifications:
• 5+ years legal attorney experience in a law firm and/or in-house setting.
• Excellent written and oral communication skills, initiative and drive.
• Drafting and negotiating complex service agreements.
• Partnering with clients to achieve business objectives.
• Ability to work in a fast-paced environment managing multiple demands.
• Take initiative and embrace new areas of practice and new projects.
• Admitted to practice law in at least one state and in good standing of applicable bar association(s).
Preferred Qualifications:
• Healthcare experience.
• Healthcare laws and regulations including HIPAA, Medicare, Medicaid, False Claims Act, Federal Anti-Kickback Statute.
• In-house legal experience.
Education:
• Juris Doctor (JD) is required.
Pay Range
The typical pay range for this role is:
$144,200.00 - $288,400.00
This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls. The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors. This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above. This position also includes an award target in the company's equity award program.
