Full Job Description
Provide general legal advice and creative legal solutions to the business demands of the Company, as a member of the Corporate and Securities Team.
Essential Function
• Support corporate secretary office for the public company and regulated and unregulated subsidiaries, including organizing board and committee meetings, preparing agendas, minutes and resolutions, and maintaining corporate records.
• Support board governance, including director onboarding, meeting preparation, compliance with applicable listing standards and regulatory requirements, and effective governance best practices.
• Advise on public company securities law matters, including Securities Act of 1933 and Securities Exchange Act of 1934 compliance, SEC filings, disclosure obligations, and related policies.
• Prepare, review, and file periodic and current reports (e.g., Forms 10-K, 10-Q, 8-K), proxy statements, registration statements, and other SEC documents.
• Provide guidance on earnings announcements and regular communications with shareholders.
• Support financing and other capital projects from inception through ongoing compliance.
• Monitor and provide advice with respect to corporate governance and securities issues and work with team to develop best practices for implementation.
• Coordinate with internal and external stakeholders (including board members, auditors, regulators, and outside counsel) on securities and governance matters.
• Liaise with international legal colleagues on multi-jurisdictional projects, including development and maintenance of corporate subsidiaries.
• Provide legal support for sustainability initiatives and reporting.
• Provide legal support for corporate merger and acquisition activities.
• General contract review and negotiation (e.g., confidentiality agreements, vendor service contracts, guarantees and comfort letters, service level agreements).
• Other legal matters and projects, as assigned.
Qualifications
• JD, Law degree from accredited law school
• BA/BS, Bachelor's Degree in Arts/Sciences from accredited university or college
• 5+ Years of experience with corporate governance and securities and related issues in a law firm or corporate legal function
• Licensed to practice law in relevant legal jurisdiction

• Deep and broad expertise in legal profession, with specialized knowledge of relevant jurisdiction laws and regulations
• Ability to lead other professionals and projects as a team
• Advanced experience, expertise and knowledge of securities law and corporate governance terminology and methods, and strong business and financial knowledge
• The ability to work independently in a fast-paced environment that emphasizes information sharing, collaboration, teamwork, mutual respect and integrity.
• Highly experienced client service and interpersonal skills, with continual focus and dedication to high level of client service
• Superior written and verbal communication skills and excellent organizational and interpersonal skills.
• Highly experienced skills and expertise with respect to drafting, review, proofreading, negotiation, persuasion, and oral and written communication
• Serve internal and external stakeholders and provide legal advice at a level commensurate to a mid-level associate in a law firm
• Highly organized and results oriented with strong attention to detail
• Excellent time management skills and commitment to meet deadlines
• Strong ability to set goals, multitask and prioritize workload to deliver results on a timely basis

Compensation Range:
$126,710.00 - $188,840.00 Annual
Base pay varies depending on job-related knowledge, skills, experience and market location. In addition, RGA provides an annual bonus plan that includes all roles and some positions are eligible for participation in our long-term equity incentive plan.
