Legal Counsel

Our Legal & Business Integrity practice are looking for a Legal Counsel to join the team

Our Legal & Business Integrity function partners with the business, providing specialized legal, commercial and risk management support, as well as sustainability advice, to enable confident growth. This spans everything from shaping and negotiating client and supplier contracts, to strategic partnerships, geographical expansion, insurance and company secretarial, restructuring, support for our corporate team (Baringa Enablement), and enterprise risk management.

Legal Counsel

Baringa is seeking a proactive, commercially minded Legal Counsel to join its Legal & Business Integrity team. The role will support Baringa's fast-growing North American business and may be performed remotely from anywhere in the United States or based in New York or Houston.

Baringa provides a broad range of management consulting services to clients primarily across the energy, telecommunications, government, and financial services sectors.

The successful candidate will be a self-starter and commercial transactions generalist who is comfortable taking ownership of matters from initial instruction through completion. They will be expected to work independently across a wide range of legal and commercial issues, exercise sound judgment, and provide practical, solutions-oriented advice. They must also recognize when a matter requires escalation or consultation with senior members of the Legal Team.

This role will play an important part in helping the Legal Team implement and embed Luminance, a new contract management and legal technology AI-enabled platform for the firm. The successful candidate should be comfortable adopting new technology, improving legal processes, and supporting consistent contracting practices across the business.

The Legal Counsel will work closely with stakeholders across Baringa and will report to the Senior Legal Counsel based in New York.

What you will be doing
  • Drafting, reviewing, negotiating, and advising on a broad range of commercial agreements with clients, suppliers, partners, and other third parties.
  • Taking primary responsibility for drafting, reviewing, and negotiating client engagement agreements, master services agreements, statements of work, licensing agreements, reliance letters, nondisclosure agreements, and related commercial documents in accordance with Baringa's established contract risk framework.
  • Drafting and negotiating a range of technology agreements, including software licensing, SaaS, development, implementation, technology partnership, data, vendor, and support agreements.
  • Advising on legal issues relating to technology, data protection, AI-enabled services, and digital transformation initiatives.
  • Identifying contractual, legal, operational, financial, and reputational risks and clearly communicating those risks to business stakeholders, together with pragmatic recommendations.
  • Supporting Baringa's U.S. corporate and internal business functions on a broad range of legal, commercial, and operational matters; e.g. this will include employment, property, data privacy and company secretarial matters.
  • Supporting the implementation, adoption, and ongoing use of a newly released CRM Luminance across the business, enabling efficient end-to-end contract lifecycle management from intake and drafting through negotiation, execution, reporting, and post-signature contract management.
  • Managing competing priorities and progressing matters efficiently in a fast-paced, collaborative, and growing business.
  • Liaising with our Legal & Business Integrity team colleagues around the world as part of a coordinated team to assist with legal support in other countries when capacity provides.

Your skills and experience
  • A U.S.-qualified attorney in good standing with the bar of at least one U.S. jurisdiction.
  • At least three years of experience in a leading law firm, an in-house legal team, or a combination of both, with strong commercial contracting experience and a proven track record of drafting, reviewing, and negotiating complex commercial agreements.
  • Proactive, accountable, and solutions-oriented, with the ability to take ownership of matters, anticipate issues, exercise sound judgment, and drive work to completion.
  • Highly organized and able to work independently in a remote environment while collaborating effectively with a small legal team, including the Senior Legal Counsel based in New York.
  • Strong prioritization, communication, and stakeholder management skills, with the ability to balance competing demands, manage expectations, and operate effectively with limited supervision in a fast-growing business.
  • Strong commercial judgment and the ability to identify, assess, and clearly communicate legal, contractual, operational, and reputational risks to business stakeholders.
  • Demonstrated interest in legal operations, contract lifecycle management, process improvement, and AI-enabled legal technology, including experience with or enthusiasm for adopting new legal technology tools such as Luminance.
  • Committed to the highest standards of ethics, professionalism, integrity, confidentiality, and sound judgment, with the ability to navigate disagreement and resolve issues constructively.
