About the Role: Aviat Networks is seeking a proactive and detail-oriented Legal Counsel to join our team. This generalist position will report directly to the General Counsel and serve as a key contributor in supporting the Company's public company obligations, global subsidiary operations, intellectual property management, M&A activities, corporate governance, litigation and compliance functions. The ideal candidate will be a business-minded attorney with a background in securities law, corporate governance, and cross-functional legal support. This is a high-visibility role with opportunities for direct interaction with senior leadership, including the Board of Directors.

Responsibilities:
  • Support the General Counsel in preparing SEC filings.
  • Lead the coordination and drafting of the Company's annual proxy statement and manage the annual shareholder meeting, including interaction with vendors, the inspector of elections, and internal stakeholders.
  • Draft Board and Committee resolutions and meeting minutes; coordinate annual Board and Committee evaluations and support director onboarding.
  • Draft and collect annual director and officer questionnaires and assist with ongoing governance and compliance requirements.
  • Support the Company's intellectual property portfolio.
  • Provide legal support throughout all stages of M&A transactions, including preparing NDAs, conducting due diligence, summarizing findings, drafting transaction documentation, and assisting with closing logistics.
  • Lead legal department integration efforts post-closing.
  • Support the legal and governance needs of the Company's domestic and international subsidiaries, including corporate maintenance, registrations, and cross-border coordination.
  • Assist with internal investigations and provide legal guidance on compliance-related matters, including ethics, anti-bribery/anti-corruption, and conflicts of interest.
  • Support various business units in company-wide policy management.
  • Manage litigation and dispute matters, including coordinating with outside counsel and overseeing discovery and document production.
  • Supporting internal stakeholders with risk assessments and strategic decision-making.
  • When needed, draft, review, and negotiate a variety of commercial contracts to support global business operations.
  • Serve as a legal partner to business units, providing practical, solution-oriented legal advice.

Qualifications & Competencies:
  • Juris Doctorate from an accredited law school.
  • 2+ years of relevant experience.
  • Familiarity with SEC reporting and public company governance.
  • Understanding of M&A transactions.
  • Outstanding judgment, integrity and attention to detail.
  • Demonstrated ability to work independently and collaboratively in a fast-paced environment.
  • Excellent communication, organizational, and project management skills.
  • Ability to draft clear and concise legal documents.
  • Strong presentation skills for internal and external stakeholders.
  • Ability to respond confidently to inquiries from customers, regulatory agencies, and the business community.
  • Strong understanding of financial and commercial matters, including costs, profits, and new business opportunities.
  • Experience in negotiating complex commercial contracts, ensuring clarity and thoroughness in capturing agreed terms.
  • Exceptional verbal and written communication skills.
  • Excellent analytical and problem-solving skills; ability to break down complex issues into actionable steps.
  • Able to maintain composure and objectivity in high-pressure situations; consistently performs well under stress and accepts feedback constructively.
