Position Overview

A Lead Contract Attorney with experience in government contracting (ideally spanning multiple levels of local and state government), SaaS, and technology transactions to support the drafting, negotiation, and management of commercial agreements. This role reports to the General Counsel, supporting and assisting on complex and escalated matters, and partners closely with Sales, Product, Security, and Compliance to facilitate deal execution while maintaining a balanced, practical approach to legal risk.

The ideal candidate has a strong foundation in public sector and SaaS agreements, is comfortable owning negotiations independently, and can collaborate effectively across business units.

Key Responsibilities

Contract Drafting & Negotiation
  • Primarily own end-to-end drafting, review, and negotiation of sales agreements, including SaaS subscription agreements, MSAs, and amendments; state and local government contracts, including RFP-driven agreements; escalating to General Counsel only when necessary.
  • Assist on more complicated sales/tech agreements including subcontractor, reseller, and partner agreements, as well as DPAs, security addenda, and SLAs.
  • Negotiate key risk provisions, including limitation of liability, indemnification, and insurance; data privacy, security, and breach-related terms; and confidentiality, IP, and data ownership.
  • Manage multiple concurrent contracts, maintaining consistency with company standards and risk positions, and escalate complex or high-risk matters to the General Counsel for final review.

Government Contracting Support
  • Review and respond to public sector solicitations (RFPs, RFQs, etc.).
  • Identify and escalate non-standard or high-risk government terms.
  • Support compliance with applicable procurement rules, grant requirements, and data/security obligations.
  • Analyze subcontracting and flow-down provisions in partner agreements.

Cross-Functional Collaboration
  • Partner with Sales and Finance to support deal structuring and execution (including renewals) provide practical legal guidance, resolve contract issues during negotiation, and communicate legal concepts clearly to non-legal stakeholders.
  • Provide first-pass legal support on complex sales-related matters touching Product, Security, or Compliance, with final review by the General Counsel.

Process & Risk Management
  • Contribute to contract templates, playbooks, and standard positions.
  • Track and flag recurring negotiation issues or trends, and report relevant patterns to the General Counsel.
  • Support internal compliance efforts, including data privacy and security practices.

Qualifications

Required
  • J.D. from an accredited law school and active bar membership in good standing.
  • 7+ years of relevant experience, including commercial contracting in a law firm or in-house environment, and direct experience with SaaS or technology agreements.
  • Exposure to government contracting (state/local strongly preferred).
  • Strong drafting and negotiation skills, with the judgment to operate independently on complex matters.
  • Ability to manage multiple priorities and competing deadlines in a fast-paced environment.

Preferred
  • Experience working directly with public sector clients (cities, counties, state agencies).
  • Familiarity with data privacy and security terms in SaaS agreements.
  • Familiarity with SOC 2 or similar compliance frameworks.
  • Experience with subcontracting, reseller, or partner models.
  • Comfort advising on legal issues raised by new or emerging technology and products.
