Full Job Description
Position: Head of Legal, North America

Reports to: Group Chief Legal Officer

Location: New York City, USA

The opportunity:

Your specific responsibilities will be:

Legal Documentation
  • Draft, review and negotiate contracts with clients, counterparty banks, distribution partners and suppliers;
  • Manage existing contracts with clients, distribution partners, counterparty banks and suppliers;
  • Implement and manage standard agreements such as NDAs, standard business terms and conditions, ISDA/CSAs and associated documentation;
  • Maintain HR-related policies and procedures, including the staff handbook; and
  • Maintain data privacy policies and ensure compliance with applicable data protection law.


Policies and Procedures
  • Supporting the business with compliance and regulatory change projects;
  • Drafting and reviewing policies and procedures resulting from regulatory changes;
  • Ensure client onboarding meets legal and regulatory requirements, with particular focus on:
    • Client reporting and marketing documentation review, approval and record keeping;
    • Keep client legal and compliance records up to date; and
    • Create, review and update compliance and legal policies and procedures on a regular basis.


Compliance Governance
  • Monitor regulatory developments in the US and other jurisdictions in which the firm conducts business, and assess their impact on the business;
  • Act as the firm's point of contact for regulators and external counsel on legal and compliance matters;
  • Design and oversee the firm's compliance monitoring programme, including periodic reviews and remediation tracking;
  • Report to senior management on legal, regulatory and compliance risks, breaches and remediation.


Requirements (essential);
  • Working knowledge of US financial services regulation
  • Knowledge of derivative documentation and regulation
  • Ability to interpret a broad range of legal and regulatory provisions and advise stakeholders at all levels of seniority on the appropriate course of action;
  • Excellent communication skills, both written and verbal, and the ability to work closely with colleagues and counterparties;
  • Buy-side legal and compliance advisory experience is desirable;
  • Strong attention to detail and accuracy;
  • Self-motivated with good time management skills;
  • High levels of integrity and the ability to act with due skill, care, diligence and confidentiality;
  • Pay due regard to the interests of our customers and treat them fairly; and
  • Dedication to observing proper standards of market conduct.
