Full Job Description
As the Global Equity Compensation Manager for Executive Compensation, Long Term Incentives (LTI) & Compliance, you will play a pivotal role in shaping, executing, and safeguarding our Total Rewards strategy. In this high-impact position, you will own end-to-end global equity program governance-including RSU, PSU, and ESPP administration, and compliance-while also leading executive compensation initiatives and the annual proxy statement support.

This role requires a strategic operator with deep expertise in global compensation practices and a strong command of international regulatory landscapes. You will navigate complex compliance requirements across EMEA and Asia Pacific-with a specific, critical focus on China SAFE regulations-while managing external vendor relationships, driving cross-functional collaboration with Finance, Legal, Tax, and Payroll, and leading our stock administration function. Ultimately, you will ensure our equity and executive compensation programs are competitive, compliant, and aligned with our organizational goals.

PRIMARY RESPONSIBILITIES

Strategic Leadership & Program Governance
• Own end-to-end global equity program governance across all award types (RSUs, PSUs, stock options, and employee stock purchase program).
• Identify market trends and competitive gaps; recommend plan design changes and strategic solutions to the Total Rewards leadership team.
• Support the Executive Compensation Committee in an advisory capacity on RSU/PSU program matters.
• Manage equity pool budgeting, burn-rate analysis, dilution forecasting, and share utilization reporting.

Plan Design & Policy
• Maintain and evolve RSU/PSU vesting structures, performance metrics, and payout methodologies.
• Own ESPP plan design, offering-period planning, and operational management.
• Approve policy exceptions, plan modifications, and plan amendments.
• Set tax withholding policies and equity distribution calendars in partnership with Tax and Payroll.
• Provide M&A equity integration oversight, ensuring seamless treatment of outstanding awards during corporate transactions.

Global LTI & ESPP Administration
• Oversee the end-to-end administration, and execution of global Long-Term Incentive (LTI) programs, ensuring alignment with the overarching Total Rewards philosophy.
• Direct the management and optimization of the US Employee Stock Purchase Plan (ESPP), driving smooth enrollment, accurate payroll deductions, bulk stock purchases at period close, and effective employee communication.
• Lead the annual equity grant cycle, including budgeting, modeling, grant processing, participant grant agreement distribution, and grant execution.
• Oversee vesting events: coordinate share releases, transmit vesting files and FMV data to Payroll for tax withholding, and confirm share delivery to participant accounts.
• Maintain IRC Section 423 compliance records for the ESPP program.
• Drive employee education and participation campaigns to maximize ESPP enrollment and engagement.

Executive Compensation & Proxy Execution
• Manage the administration of executive compensation programs (base, short-term, and long-term incentives).
• Partner closely with Legal, Finance, and external compensation consultants to drive the preparation, drafting, and seamless execution of the annual proxy statement (specifically the CD&A).
• Prepare and provide proxy statement inputs including overhang, burn rate, and share utilization data.

Cross-Functional Collaboration & Finance Handoffs
• Serve as the primary liaison between Total Rewards and Finance, Legal, Payroll, FP&A, and Tax on all equity matters.
• Deliver accurate, timely grant files to Finance/Accounting for each annual grant cycle (award type, shares, FMV, grant date, vesting schedule, performance conditions).
• Transmit vesting event files (shares vested, FMV at vest, cost-center allocations) to Finance for ASC 718 expense recording and GL reconciliation.
• Provide ESPP purchase files (shares purchased, purchase price, FMV, discount amount, total proceeds) to Finance at each offering-period close.
• Supply quarterly forfeiture activity, cancellation reports, open award balances, and ESPP participation data by segment to support 10-Q/10-K footnote disclosures and diluted EPS calculations.
• Partner with Finance on quarterly GL-to-platform reconciliations and review draft equity footnote disclosures for accuracy.

Compliance, SOX & Regulatory Adherence
• Serve as the organization's subject matter expert on global equity compliance, taxation, and securities laws.
• Ensure rigorous compliance with SEC, IRC 409A, and international regulations across EMEA and Asia Pacific, directly managing all reporting, filings, and regulatory adherence related to China SAFE (State Administration of Foreign Exchange) rules.
• Partner with internal Tax, Legal, and Payroll teams to ensure accurate taxation, reporting, and accounting of all equity-based transactions worldwide.
• Enforce insider trading blackout periods and pre-clearance procedures in coordination with Legal.
• Perform HR-side SOX control activities (grant authorization evidence), maintain evidence files, and support external audit requests in coordination with the Finance team.
• Oversee data privacy obligations related to equity data, including GDPR and CCPA compliance.

Vendor Management
• Manage external equity administration platform vendors.
• Hold vendors accountable to SLAs, ensuring optimal service delivery, system optimization, data integrity, and cost-effectiveness.
• Manage escalations with vendors and oversee system configuration, template updates, workflow rules, and User Acceptance Testing (UAT) for all platform changes and enhancements.

Team Leadership & Mentorship
• Supervise, mentor, and develop the Stock Administration Analyst, who owns day-to-day RSU/PSU and ESPP operational execution.
• Provide strategic guidance on complex equity transactions, award modifications, cancellations, accelerations, and performance award payout calculations.
• Foster a culture of accuracy, accountability, and continuous improvement within the stock administration function.

REQUIRED QUALIFICATIONS

• Experience: 7+ years of progressive experience in Total Rewards, Compensation, or Equity Administration, with at least 2-3 years in a management or team leadership capacity. Prior hands-on experience with executive compensation and proxy disclosure is essential.

• Regulatory Expertise: Deep understanding of global equity compliance, including SEC reporting, IRC 409A, and IRC Section 423 (ESPP). Must have specific, demonstrated experience navigating EMEA and APAC regulations, including securing and maintaining China SAFE compliance for equity plans.

• SOX & Audit: Strong familiarity with SOX control requirements as they relate to equity grant authorization and HR-side audit responsibilities.

• Technical Proficiency: Advanced knowledge of major equity administration platforms (e.g., Fidelity, Shareworks, E*TRADE, Charles Schwab) and HRIS systems (e.g., Workday). Experience with platform configuration, UAT, and system enhancements preferred. Certified Equity Professional (CEP) designation is highly preferred.

• Analytical Rigor: Exceptional quantitative and analytical skills, with the ability to model equity pool budgets, burn rates, dilution forecasts, and translate complex financial and compensation data into clear, actionable strategic recommendations.

• Communication & Leadership: Excellent written and verbal communication skills. Proven ability to explain complex equity concepts to diverse audiences, from general employees to C-suite executives and the Board of Directors. Experience preparing proxy statement inputs and partnering with Finance on equity footnote disclosures.

• Data Privacy: Working knowledge of GDPR, CCPA, and other data privacy frameworks as they apply to global equity participant data.

• Education: Bachelor's degree in Business, Finance, Human Resources, or a related field. Advanced degree or relevant industry certifications (e.g., CCP, CEP) are a plus.

Compensation ranges for roles at TTM Technologies varies depending on a wide array of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At TTM Technologies, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on each individual set of circumstances. A reasonable estimate of the current range is:

Additional compensation: An annual or quarterly company bonus may apply based on position assignment. Positions hired for alternative shift may be eligible for a shift premium based on the assigned shift and location.
