Full Job Description
We are seeking an establishing its first in-house legal function and is seeking a General Counsel to own it. This role is built for an experienced attorney who is comfortable operating as a standalone legal function, and who can move fluidly between contract negotiation, compliance, transactional support and outside counsel management. This person will work closely with Executive Leadership, reporting directly to the CFO, across a company with a multi-state footprint with international exposure.

Requirements

Required qualifications
  • Juris Doctor (J.D.) from an accredited law school and an active state bar license; Pennsylvania admission strongly preferred.
  • Strong contract drafting and negotiation skills
  • Demonstrated experience managing outside counsel relationships and budgets
  • Working knowledge of multi-state regulatory compliance
  • Ability to operate independently as a standalone legal function, prioritizing across a wide range of matters without a larger in-house team
  • Sound, practical judgment on when to escalate to outside counsel versus resolve internally
  • Clear communication skills across executive leadership, customers, lenders, and outside partners

Preferred qualifications
  • 7+ years of relevant legal experience, in-house and/or at a law firm
  • Experience with M&A transactions preferred
  • Experience with credit agreements, lender covenants, or debt/capital structures preferred
  • Prior experience as a first in-house hire, or building/leading a legal function, preferred
  • Cross-border or international contract and employment law experience preferred, particularly Middle East
  • Willingness to travel occasionally across WOS's multi-state operations

Primary responsibilities
  • Draft, review, and negotiate commercial contracts, including Master Service Agreements, with E&P operators, vendors, and other counterparties
  • Manage relationships with outside counsel across corporate, litigation, and specialized matters, including selecting and directing outside counsel where specialized expertise is required
  • Provide compliance counsel across WOS's multi-state operations (PA, OH, WV, TX, and others), including regulatory and licensing matters
  • Support the legal aspects of M&A activity, including due diligence, transaction documentation, and integration matters
  • Support banking and lender relationships, including covenant compliance and documentation under WOS's credit facilities
  • Lead legal aspects of international entity setup, structuring, and ongoing compliance, including WOS's Saudi Arabia subsidiary
  • Advise executive leadership on legal risk across the business and help prioritize which matters require outside counsel versus in-house handling
  • Support HR and People leadership on employment law matters across multi-state operations
  • Ensure company policies, contracts, and practices comply with applicable local, state, federal, and international law
  • Perform other duties as assigned by management
