Full Job Description
The Role

The Analyst/Senior Analyst (Paralegal) will join our Entity Management team who oversee the full lifecycle of Sixth Street's internal global entities. This cross-functional role requires close collaboration with Legal, Tax, Accounting, and Compliance teams to support transaction, fund, and regulatory workstreams. You will be responsible for building and implementing best-in-class processes and controls to manage a growing, complex, cross-border organizational structure.
Core Responsibilities
  • Develop, implement, and manage processes for our entities globally from formation all the way until dissolution
    • Own and manage entity set-up and dissolution process for U.S. and non-U.S. entities, coordinating cross-functionally with Tax, Compliance, Accounting, and business teams
    • Manage day-to-day requests related to entity formation, governance, authorization, and corporate approvals, triaging and prioritizing high-impact items
    • Work with, and manage, external service providers (e.g., registered agents, external law firms, accounting firms) to ensure we get high-quality, efficient work
    • Develop and maintain internal governance playbooks, checklists, and standard operating procedures for entity lifecycle events (formations, mergers, dissolutions, restructurings, board/committee changes, etc.)
    • Explore and utilize firm-approved AI and other automations to increase efficiency and accuracy of processes
  • Maintain an up-to-date database of all legal entity information and governing agreements
    • Maintain database of active entities and legal entity records, with a focus on accuracy, completeness, and audit readiness
    • Identify and drive process improvements, including the selection, implementation, and optimization of entity management tools and technology, with the goal of improving data quality, transparency, and scalability of the global entity platform
  • Serve as record keeper and source of information for Sixth Street and its affiliates
    • Work with external counsel / service providers to draft and maintain governance and other entity documents (e.g., resolutions, appointments and removals, powers of attorney, amendments, minutes, consents, certificates of incumbency)
    • Respond to external (KYC, banks, brokerage and counterparty) and internal document requests related to entity status, authority, and governance, ensuring timely, accurate, and well-documented responses
    • Maintain director / officer lists and signature blocks for all relevant entities globally, including ongoing monitoring of changes and implementation of robust change-control procedures
  • Assist with recurring, event-driven and ad-hoc regulatory filings
    • Coordinate with internal stakeholders and external service providers to assist with certain securities, treasuries, and other regulatory registrations and filings.
    • Track key recurring deadlines across global entities, funds, and affiliated vehicles, designing and maintaining systems to ensure timely completion of all governance and regulatory obligations
    • Interface with Legal, Tax and Compliance departments on a regular basis regarding legal and regulatory matters applicable to Sixth Street and provide proactive guidance on entity-related implications for new structures, products, and transactions
What We Value
  • 3-5+ years of law firm or in-house paralegal experience, with a preference for experience within the funds / investment management space and demonstrated responsibility for global entity management and corporate governance across multiple jurisdictions

Compensation

The base salary for this position is expected to be between $90,000 and $120,000. The base salary offered to the selected candidate will be commensurate with a candidate's relevant experience and other qualifications for the position, as determined by Sixth Street in its sole discretion.

In addition to base salary, this position is eligible for an annual discretionary bonus and a competitive benefits package. Benefits offered currently include health, life, long-term and short-term disability insurance and a 401(k) plan. In addition, this role is eligible for paid public holidays (NYSE calendar), paid sick days pursuant to local laws, and additional reasonable time off subject to manager approval.

If a job offer is extended for a location other than Dallas or San Francisco, the salary range may differ based on the location.
