About the Role

We are seeking an experiencedStock Plan Administratorto manage our global equity compensation programand lead our stock plan team. 

This roleis responsible foradministering and optimizing the Prologis equity compensation program and ensuring a seamless experience for all stock plan participants. The ideal candidate brings subject matter expertise, strong communication and relationship-building skills, and a forward-looking approach to technology and automation. 

Reporting intotheLegaldepartment, this role partners closely with HR, Payroll, Tax, Accounting, and external vendors. It is highly hands-on,providing regular exposure to theC-Suite and Board of Directors. The role isideal for someone who thrives on building structures, improving processes,and bringing clarity to sophisticated and evolving global programs. As a trusted subject matter expert and collaborative partner, you will be instrumental in how Prologis administers equity globally and in developing the capabilities of the team around you.

Key Responsibilities 

Equity Plan Administration 

  • Manage the full lifecycle of global equity awards: grant setup, vesting, releases, cancellations, terminations/retirement, and quarterly dividends across multiple jurisdictions and equity structures. 

  • Act as a trusted, accessible stock plan expert to all levels of the organization, including executives and board members, providing support and addressing inquiries with clarity, accuracy, and timeliness. 

  • Exercise sound judgment to resolve complex stock plan participant matters and address evolving stock plan provisions, balancing business needs and employee experience considerations.  

  • Maintain and optimize equity management systems (currently Equity Edge Online, E*TRADE). 

  • Lead strategic vendor relationships, such as with E*TRADE and outside counsel, evaluating service quality and ensuring external partners effectively support Prologis' equity strategy. 

  • Prepare, file and manage SEC insider ownership disclosures, including Forms 3, 4, and 5. Serve as a trusted advisor to executives and directors on insider ownership reporting obligations, providing guidance on reporting requirements and disclosure timing considerations. 

  • Prepare and review stock plan participant communications, statements, and educational materials, ensuring clarity and comprehension across diverse participant groups. 

  • Monitor insider trading compliance and manage blackout periods. 

  • Reconcile equity data across Workday, equity platforms, and transfer agents. 

  • Support audit and periodic reporting functions. Ensure data integrity and accuracy across all systems and reporting outputs. 

  • Onboard officers and directors using the EDGAR Next platform. 

  • Willingness to leverage Prologis’ AI resources to identify, evaluate, and develop AI-enabled tools and automation solutions to improve efficiency within equity administration processes. 

  • Partner with cross-functional stakeholders across Legal, HR, Payroll, Tax, and Finance departments to advance shared program objectives and ensure coordinated, well-integrated outcomes.  

  • Mentor and develop stock plan colleagues, fostering a collaborative culture where expertise is shared generously and professional development is actively supported. Build stock plan team capabilities, helping colleagues deepen their understanding of equity administration processes and best practices.  

Qualifications

  • Bachelor’s degree inFinance, Accounting, HR, orarelatedfield.

  • 7+ years of experience in stock plan administration, including direct experience with complexequity programs.

  • Strong knowledge of equity plan structures (RSUs, PSUs,etc.). 

  • Demonstrated ability to advise senior executives, board members, and cross-functional leaders on equity,reporting/compliance, and participant matters.

  • Experience with equity platforms such as Equity Edge Online/E*TRADE (or equivalent); familiarity with Workday, DFINplatform (Donnelley Financial Solutions), EDGAR Next, and Docusign is a plus.

  • Advanced Excel skills, includingmonthlyreconciliationand data validation.

  • Comfortable seeking toleverageAI tools and emerging technologies to optimize workflows and drive process efficiencies.

Preferred Qualifications 

  • Experience with Equity Edge Online/E*TRADE specifically. 

  • Experience supporting global equity programs across multiple jurisdictions. 

  • Experience preparing and filing Forms 3, 4, and 5 with the SEC. 

  • Familiarity with HRIS and payroll integrations (e.g., Workday). 

  • Certified Equity Professional (CEP) designation or working towards. 

  • Experience mentoring and developing colleagues.  

  • Demonstrates willingness and capability to leverage emerging technology, automation, and AI tools to improve efficiency, quality, and speed. Exercises sound judgment, creative thinking, and accountability for outcomes

  • Hiring Salary Range of: $156,000 – $196,000 . Salary and whole compensation package (bonus target & LTI (Long Term Incentives) to be determined by the candidate’s location, education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data
