Job Summary

The Director of Legal Operations & Governance serves as the strategic leader responsible for managing legal technology, corporate governance structure, administrative processes, and cross-functional initiatives. Reporting directly to executive leadership, this position oversees contract lifecycle management, M&A due diligence, litigation workflows, corporate claims, and organization-wide compliance and governance benchmarks. Serving as the primary operational backbone for the legal department, the role focuses on streamlining internal procedures, standardizing corporate records, driving complex project execution, and liaising with external legal counsel as necessary.

The ideal candidate possesses exceptional written, verbal, and interpersonal skills, with a proven capacity to partner across business units to harmonize legal strategies with overarching organizational objectives.

Skills & Knowledge
  • Interpersonal & Relationship Skills: Proven ability to build trust, navigate complex organizational dynamics, and establish collaborative relationships across all levels and departments.
  • Legal Knowledge:Practical understanding of basic legal and governance concepts (contract terms, liability, corporate filings, dispute resolution, M&A workflows, discovery). Advanced mastery of legal tech platforms, corporate record/governance software, workflow automation, e-discovery tools, and enterprise suites.
  • Project Management:Exceptional organizational and change management ability with experience leading complex, cross-departmental initiatives.
  • Contract Lifecycle Management (CLM) & Legal Technology:Hands-on CLM implementation experience is strongly preferred (e.g., Ironclad, Gatekeeper, LinkSquares, Conga, Agiloft, or Docusign CLM).
  • Communication & Collaboration:Strong written and verbal skills.

Essential Duties & Responsibilities

Cross-Departmental Collaboration & Relationship Building
  • Act as a primary liaison between the Legal team and internal departments (HR, Finance, Operations, and IT).
  • Establish strong working relationships with departmental leaders to understand operational pain points and integrate legal workflows seamlessly into business operations.
  • Drive change management and adoption for new legal technologies, governance policies, and intake processes through active engagement and clear communication.

Contract Lifecycle Management (CLM) & Legal Technology
  • Lead the end-to-end selection, implementation, and administration of our CLM system.
  • Build automated contract workflows, template libraries, and approval hierarchies in collaboration with key stakeholders.
  • Train cross-functional teams on legal software adoption, self-service tools, and contract intake processes.
  • Manage vendor relationships and administrative configuration for all legal technology tools.

Litigation & Claims Oversight
  • Serve as the central point of contact for corporate claims, disputes, and active litigation matters.
  • Organize e-discovery, hold notices, document collection, and factual investigations across impacted teams.
  • Track litigation budgets, manage outside counsel billing, and maintain case management databases.

M&A Due Diligence
  • Assist with legal due diligence for mergers, acquisitions, and strategic partnerships across internal and external teams.
  • When needed, assist in building and organizing virtual data rooms (VDRs), tracking disclosure schedules, and coordinating integration tasks post-closing.

Operations, Corporate Governance & Vendor Management
  • Develop, implement, and maintain corporate governance frameworks, policies, and record retention protocols.
  • Standardize legal intake channels and manage entity governance and corporate compliance tracking.
  • Track Key Performance Indicators (KPIs) such as contract cycle time, legal spend, and claim resolution rates.
  • Oversee outside counsel engagement, fee arrangements, and invoice reviews.

Qualifications

Required
  • Education: Bachelor's degree from an accredited institution.
  • Experience: 5+ years in legal operations, corporate governance, contract administration, or paralegal management in-house or at a law firm.
  • Work Location Arrangement:Ability to work in a hybrid capacity, requiring 2-3 days per week in-office at the Chino Hills, CA corporate location.

Preferred
  • Specialized Knowledge: Prior experience in health care compliance or supporting Home and Community-Based Services (HCBS), developmental disability care, or Medicaid-funded program environments.
