The RoleWe are seeking an experienced Director, Legal to join our team in Toronto as our sole in-house counsel. This is a high-impact, individual contributor role - you will own the legal function end to end, from corporate maintenance and minute books to commercial contracts and compliance. You'll be the first and only point of contact for legal matters inside the company, engaging outside counsel where specialized expertise is required. A core part of this role is SaaS contract negotiation in-house, so we're seeking someone who can independently run that work without routine reliance on external counsel.
What You'll Be Doing- SaaS & Commercial Contract Lifecycle Management: Independently draft, review, and negotiate our full portfolio of commercial agreements - including SaaS agreements, MSAs, software licenses, order forms, and term sheets - for both our client contracts and our own vendor agreements. This is the largest and most frequent part of the role, and we need someone who can run it without outside counsel support.
- Corporate Maintenance & Governance: Maintain minute books and corporate records, manage day-to-day corporate law matters, and provide legal support for entity management, financing activities, and structural alignment with our platform offerings.
- Strategic Legal Partnership: Provide expert legal counsel across corporate governance, compliance, employment, and commercial matters. Collaborate with cross-functional leadership to mitigate enterprise risk while supporting business agility.
- Compliance & Regulatory Oversight: Proactively monitor changes in financial and technology law, ensuring our practices stay ahead of regulatory shifts. Champion compliance and risk management initiatives that protect the business.
- External Counsel Management: As the sole in-house legal resource, identify when a matter requires outside expertise (e.g., specialized litigation, complex M&A, or regulatory filings) and manage those external counsel relationships efficiently to ensure cost-effective, high-quality support.
- Corporate Transaction Support: Lead high-stakes corporate transactions, including fundraising rounds, M&A activities, and other strategic initiatives, managing the full lifecycle from inception to closing.
Must Haves- Credentials: Law degree from a Canadian law school and member in good standing with the Law Society of Ontario. Licensed to practice law in Ontario is required.
- Experience: 7+ years of relevant legal experience at a top-tier law firm or in-house at a SaaS/FinTech company, with demonstrated success supporting high-growth, technology-driven organizations.
- SaaS Contract Expertise (critical): Proven track record independently negotiating and closing SaaS agreements and MSAs with enterprise clients - not just reviewing template paper, but leading negotiations directly with client and vendor counterparts.
- Autonomy: Comfortable operating as a team of one - prioritizing across competing demands, without a larger legal department to lean on for day-to-day support.
- Domain Expertise: Strong understanding of Consumer Protection, Privacy (PIPEDA), and Intellectual Property law.
- Communication: Exceptional analytical, communication, and problem-solving skills, with the ability to translate complex legal concepts into actionable business advice.
